What Are First Year Accounts for a Micro Company, and Why Do They Matter for Swindon Directors?

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. Every company incorporated at Companies House has to prepare accounts for each financial year, and the first year is simply the earliest of those periods. It is a common misconception that a newly formed company has nothing to report until it starts invoicing customers; in practice, a company may still have accounts and filing obligations even where activity has been limited or trading has not yet begun. The first accounting period starts on the date of incorporation and ends on the company’s first accounting reference date. For many companies that date falls at the end of the month in which the first anniversary of incorporation occurs, but the date held on the public register should always be checked before accounts are prepared, because it determines when the first set of accounts is due. The accounts are then usually delivered to Companies House where required, alongside any other filings the company has to make. The term micro company is often used loosely, and it is worth separating the wording from the rules. They are prepared from the company's accounting records and normally include a balance sheet, together with a profit and loss account where applicable, plus the supporting notes and statements the chosen reporting framework requires. They are not optional, and no other filing takes their place.

The due date depends on your company's accounting reference date and incorporation date, and Companies House applies particular rules to a company's very first accounts. Because those rules differ from later years, the sensible approach is to confirm the accounting reference date held on the register and count from there. We check the position for your company in Swindon before preparing anything, so the accounts are ready in good time for the applicable deadline rather than assumed to follow the pattern of a second or third year.

Typically we need the company's bank transactions for the period, sales and income records where trading has begun, business expenses and purchase invoices, details of any assets bought, share capital information from incorporation, director loan transactions, and any loans or finance arrangements. A CT600 is a Corporation Tax Return submitted to HMRC, and the company's first Corporation Tax accounting period may not be identical to its statutory accounts period. The figures in the accounts often feed into the tax computation, but the two filings serve different purposes and go to different destinations. Completing one does not complete the other.

Usually yes, if one is due. A confirmation statement is a separate annual filing that confirms the information Companies House holds about the company — directors, shareholders, registered office and share capital — remains correct. Filing first year accounts does not replace it, and filing a confirmation statement does not replace the accounts.
