What Are First Year Accounts for a Micro Company, and Does Every New Limited Company Qualify?

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. That period normally begins on the date of incorporation and runs to the company’s first accounting reference date, which is why a first accounting period is often longer than the twelve months you would see in later years. The accounts are prepared from the company’s accounting records and typically include a balance sheet, a profit and loss account where applicable, explanatory notes and a statement of the directors’ responsibilities. Once complete, they are filed with Companies House where required — Companies House receives and registers the accounts, but it does not prepare them, approve them or assess how they were professionally prepared. Some newly incorporated companies meet the eligibility conditions for the micro-entity framework, and others fall within the small company regime or prepare full accounts. Eligibility depends on the company’s circumstances for the relevant accounting period, so it is worth checking rather than assuming. Where a company does qualify as a micro-entity, FRS 105 is the financial reporting standard that applies to that framework. It also helps to keep three obligations separate in your mind. The deadline depends on your company's incorporation date, its accounting reference date and the Companies House filing rules that apply to first accounts. Because a first accounting period is often longer than twelve months, the deadline is not always twelve months after the period ends, which catches many new directors out. The most reliable approach is to check the accounting reference date and filing dates recorded for your own company, then work backwards from there. We can review those dates with you when we prepare the accounts.

Usually bank statements and transaction listings, sales or income records, purchase invoices and expense receipts, details of any assets bought, director loan and expense transactions, share capital information and any loans or finance agreements. Where the company runs payroll or is VAT registered, the relevant payroll or VAT records are helpful too. Not every company will have all of these — a company with limited activity will have far less to provide — and we will tell you what is actually needed based on what your company has done.

In most cases, yes.
