First Year Accounts for Limited Company in Stockport — Preparation and Companies House Filing Support

Your company’s first statutory accounts are the foundation of its filing history, and getting them right matters. Micro Entity Accounts helps newly incorporated and newly trading limited companies in Stockport prepare their first set of accounts from accurate accounting records, review the figures before anything is finalised, and file the accounts with Companies House where required. We also look at which reporting framework applies to your company — micro-entity, small company or something else — because that decision shapes what the accounts must contain. Corporation Tax is handled separately: a CT600 is submitted to HMRC where it applies, and filing accounts at Companies House does not do that job for you. Whether you have been trading for months, have only just started, or have had limited activity since incorporation, we can explain where you stand and prepare the accounts correctly.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

What Are First Year Accounts for a Micro Company? A Guide for New Limited Companies in Stockport

First year accounts are the first set of annual statutory accounts a limited company prepares after incorporation. They cover the company’s initial accounting period — normally running from the incorporation date to the company’s first accounting reference date, which Companies House sets based on the month the company was incorporated. That first period is frequently shorter than twelve months, and it can be adjusted in certain circumstances, which is why the accounts and filing deadline for a new company do not always follow the same pattern as later years. Filing these accounts is not optional simply because the company is new, and it is not something that can be skipped because trading has not started or activity has been minimal. The company’s reporting position depends on its circumstances and the applicable rules rather than being automatically treated as dormant. Once the period is confirmed, the accounts are built from the company’s accounting records. Depending on the company, that may include bank transactions, sales and income records, business expenses, purchase invoices, asset purchases, director transactions, share capital details, loans, and payroll or VAT records where relevant. A balance sheet is always included, and a profit and loss account is included where the applicable framework requires one. Directors’ responsibilities also apply here: the accounts must give a true and fair view or comply with the relevant reporting standard, and the directors remain responsible for meeting the company’s statutory obligations even when an accountant prepares and files the paperwork. Some companies qualify to report as micro-entities under FRS 105, the financial reporting standard applicable to qualifying entities using the micro-entity accounting framework. That is not automatic. Eligibility depends on the company’s size and circumstances for the accounting period in question, and a new company may find that the small-company framework or full accounts are more appropriate. The right framework should be confirmed rather than assumed. Finally, first year statutory accounts are not the same as a Corporation Tax Return or a confirmation statement. The accounts are delivered to Companies House where required. A CT600 is submitted to HMRC where applicable, using accounting information from the company’s records to support the Corporation Tax position. A confirmation statement is a separate Companies House filing that confirms the company’s registered details. Completing one of these does not complete the others.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

They are the first set of statutory annual accounts your company prepares after incorporation, covering its initial accounting period. They typically include a balance sheet and, where the applicable framework requires it, a profit and loss account, along with any notes required by the reporting standard used. They are prepared from the company's accounting records and, where required, delivered to Companies House.

The deadline depends on your company's accounting reference date and the specific rules that apply to a first accounting period, which is why new companies often have a different deadline pattern from established ones. Your accounting reference date is set when the company is incorporated, and it can be changed in certain circumstances. We confirm the applicable period and deadline for your company rather than applying a general rule, so you know exactly where you stand.

Usually the company's bank transactions, sales and income records, business expense details, purchase invoices, asset purchases, director transactions, share capital information and any loans or finance arrangements. Payroll records matter where the company has run a payroll, and VAT records matter where it is registered. Not every company will have all of these, so we start by listing what is relevant to yours.

Where the company is required to file statutory accounts, yes — being newly incorporated does not remove that obligation, and neither does having had limited activity or not yet commenced trading. The form the accounts take and the framework used depend on the company's circumstances and eligibility. If your company has had no significant transactions, its reporting position still needs to be assessed rather than assumed.

No. They are separate filings with separate destinations and purposes. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where it applies. Accounting information from your accounts often feeds into the Corporation Tax position, but filing one does not submit the other. It is also possible for the first Corporation Tax accounting period and the statutory accounts period not to be identical.

Some newly incorporated companies do qualify, but it is not automatic and it does not follow simply from having low turnover or being a startup. Eligibility is assessed against the applicable requirements for the relevant accounting period, and the appropriate framework may be micro-entity, small company or full accounts. We confirm which framework applies to your company before preparation begins.

No. A confirmation statement is a separate Companies House filing that confirms your company's registered details, such as directors, share capital and registered office, remain accurate. Filing first year accounts does not satisfy that requirement and vice versa. New companies in Stockport often deal with both in the same period, so it helps to track them separately.

Failing to deliver required accounts by the applicable deadline can lead to Companies House consequences, and the outcome is not identical in every case. Paying any penalty does not remove the requirement to file the outstanding accounts. If accounts are already overdue, we can help you understand the position, prepare the accounts and consider whether an appeal may be appropriate depending on the circumstances and the applicable rules.
