What Are First Year Accounts for a Micro Company, and How Do They Fit a New Limited Company's Obligations?

First year accounts are the first set of statutory annual accounts a limited company prepares for its initial accounting period. That period generally runs from incorporation to the company’s first accounting reference date, although the exact length varies: a first period is often not a standard twelve months, and changing the accounting reference date can alter it further. Because the period depends on the incorporation date and the accounting reference date on the Companies House record, no two newly incorporated companies necessarily share the same first period or filing date. Directors in Sunningdale should treat the dates on their own company record as the starting point rather than a general assumption. Preparing accounts is not optional simply because a company is new. A first period is often shorter or longer than a standard twelve months, so the period covered is not identical for every company. If the accounting reference date is changed, the first period may shift again. It is one of the first things we confirm when a new company comes to us, because it determines what the accounts need to cover.

The filing date is not the same for every company. It depends on the accounting reference date, the length of the first accounting period, whether the accounting reference date has been changed, and the Companies House requirements that apply. First accounts also follow slightly different rules from later sets of accounts, so assuming the date matches a subsequent year can be misleading. Rather than relying on a general answer, it is worth confirming the exact position for your company, and we can do that from its Companies House record.

For most new companies we would ask for bank statements and transaction records covering the period, sales and income records, purchase invoices and receipts for business expenses, details of any assets purchased, share capital information, and any director's loan or other loan balances. Payroll and VAT records are relevant where the company has them. Not every company will have all of these — a company with limited activity will have considerably less to provide. Complete records make preparation quicker and reduce the number of queries that have to come back to you.

A limited company is expected to keep accounting records and prepare accounts once it is incorporated, and that expectation is not removed simply because trading has not yet begun. Where there have been no significant accounting transactions, the reporting position depends on the company's circumstances and the applicable rules rather than being automatically treated as dormant. Dormant status has a specific meaning and its own criteria, so it is worth checking whether it genuinely applies before concluding that nothing needs to be filed.
