First Year Accounts for Limited Company in Stoke Gabriel — Prepared, Reviewed and Filed with Professional Support

Reaching the end of a company’s first accounting period often raises more questions than answers. Directors of newly incorporated companies in Stoke Gabriel frequently want to know what actually has to be prepared, what records are needed and what has to be sent to Companies House. Micro Entity Accounts provides practical support with First Year Accounts for Limited Company clients — reviewing the accounting records, preparing the first set of statutory accounts for the initial accounting period and filing them with Companies House where required. We also help directors see how the accounts fit alongside the company’s wider compliance position, including any Corporation Tax Return such as a CT600, which is submitted separately to HMRC and is not the same as the Companies House filing.

He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

What Are First Year Accounts for a Micro Company?

First year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. They cover the period from incorporation, or from the date the company began its reporting obligations, up to its first accounting reference date. Every limited company has a first accounting period, and while the length and end date depend on the company’s incorporation date, its accounting reference date and the applicable Companies House requirements, the obligation to prepare statutory accounts for that period is not optional simply because the company is new. The accounts normally include a balance sheet showing the company’s assets and liabilities at the period end, along with a profit and loss account where the applicable reporting framework requires one, plus notes and any other disclosures required for the framework used. Directors are also responsible for ensuring the accounts are prepared properly and for approving them, and they remain responsible for the company’s statutory obligations even when an accountant is engaged to help. Where a company meets the eligibility conditions for the relevant accounting period, it may be able to report using the micro-entity framework, with FRS 105 as the financial reporting standard applicable to qualifying micro-entity entities. Eligibility is not automatic — a newly incorporated company is not a micro-entity by default, and the appropriate framework depends on the company’s circumstances and the rules that apply to that period. A company that does not qualify as a micro-entity may fall within the small-company regime or need to report under a fuller framework. It is important to keep first year statutory accounts separate from other filings. The accounts are delivered to Companies House where required. A Corporation Tax Return, such as a CT600, is submitted to HMRC where the company has Corporation Tax obligations, and that submission is a distinct process with a distinct purpose. A confirmation statement is also separate again — it confirms the company’s registered information rather than reporting its financial results. Filing accounts does not, by itself, complete any of those other obligations. For directors running a new company in Stoke Gabriel, the practical starting point is usually assembling accurate accounting records — bank transactions, income and sales records, business expenses, purchase invoices, asset purchases, share capital details, any director transactions or loans, and payroll or VAT records where those apply. From there, the figures can be reviewed, the accounts prepared and the filing handled in line with the relevant requirements.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

First year accounts are the company's first set of annual statutory accounts, covering its initial accounting period from incorporation or from the start of its reporting obligations up to its first accounting reference date. They typically include a balance sheet, a profit and loss account where the applicable framework requires one, and supporting notes. They are prepared for the company's directors to approve and are delivered to Companies House where required.

There is no single deadline that applies to every company. The first accounting period and the date by which accounts must be filed depend on the company's incorporation date, its accounting reference date and the applicable Companies House requirements. Some companies' first accounting periods are longer than twelve months, which can affect the filing position. Because the calculations differ from company to company, it is worth confirming the specific dates for your company rather than relying on a general rule of thumb.

It depends on what the company has done during the period. Typically we would look at bank statements and transactions, sales and income records, business expenses and purchase invoices, any asset purchases, share capital information, director transactions or loans, and payroll or VAT records where those apply. A company with limited activity will need less, but accurate accounting records are still the foundation of the accounts.

Newly incorporated limited companies generally do have to prepare and file statutory accounts for their first accounting period where the applicable requirements apply. Being recently incorporated does not remove that obligation, and having little or no activity does not automatically remove it either. Whether the company's position is dormant, non-trading or simply quiet depends on its circumstances and the applicable rules, so it is worth checking before assuming nothing needs to be filed.

No. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations. The two filings serve different purposes and go to different places. Information from the accounts is often used when preparing the company's Corporation Tax position, and the company's first Corporation Tax accounting period may not necessarily be identical to its statutory accounts period.

A company may still have statutory filing obligations even where it has had limited activity or has not yet commenced trading. Even with no significant accounting transactions, the correct reporting position needs to be established rather than assumed, and describing a company as dormant is a specific decision rather than a default. Directors of non-trading companies in Stoke Gabriel should review their position with professional support rather than letting a filing fall overdue.

Possibly, but not automatically. Some newly incorporated companies qualify for simplified reporting as micro-entities if they meet the applicable eligibility requirements for the relevant accounting period, and FRS 105 is the financial reporting standard that applies to qualifying entities using the micro-entity framework. Others fall within the small-company regime or need a fuller framework. Low turnover alone does not guarantee micro-entity status, so the appropriate framework should be determined from the company's own circumstances.

They are two completely different filings. First year accounts report the company's financial position for its initial accounting period, while a confirmation statement confirms that the company's registered details at Companies House remain accurate. Filing the accounts does not replace the confirmation statement, and a limited company may still need to submit confirmation statements and keep its Companies House information up to date alongside its accounts and any Corporation Tax obligations.
