They are the first set of annual statutory accounts covering a company's initial accounting period, which generally starts on the date of incorporation and ends on the company's first accounting reference date. They are prepared from the company's accounting records and typically include a balance sheet and, where applicable, a profit and loss account, together with any required notes and statements. They are separate from a Corporation Tax Return and from a confirmation statement. Because the first period can differ in length from later periods, the figures and disclosures are not always directly comparable with those in subsequent years.
The due date depends on the company's incorporation date and its accounting reference date. Companies House treats a company's first accounts differently from later ones in some respects, and the filing date is worked out from those dates rather than from a single rule that applies to every new company. Rather than assume the same timetable applies to you, it is worth checking the company's own record at Companies House. As part of preparing your accounts, we can confirm the relevant dates and what they mean for your filing.
It depends on what the company has actually done. In most cases we would expect bank transactions and statements, records of any sales or other income, business expenses and purchase invoices, details of assets bought or sold, any amounts owed to or from the company, director loan transactions, share capital information and any finance or loan agreements. Where the company runs payroll or is VAT registered, the relevant payroll and VAT records will also be needed. Not every company will have all of these, and we will tell you what is relevant to your circumstances before we start.
In many cases statutory obligations still apply, but the exact position depends on the company's circumstances and the applicable rules. Having no significant accounting transactions does not automatically mean the company is dormant — dormant status has its own conditions and separate treatment at Companies House and HMRC. It is better to check your position than to assume that no filing is needed because nothing has happened yet. We can review your situation and explain what the company is likely to need to do.
No. Statutory accounts are delivered to Companies House where required, a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable, and a confirmation statement is a separate Companies House filing that updates the public register. Filing accounts does not submit a CT600, and submitting a CT600 does not complete the Companies House accounts filing. It is also worth noting that a company's first Corporation Tax accounting period may not be exactly the same as the period covered by its statutory accounts, so the two need to be considered side by side rather than treated as one exercise.
Possibly, but it is not automatic. A company may be able to use the micro-entity framework, with accounts prepared under FRS 105, if it meets the eligibility conditions for the relevant accounting period. Some companies instead fall within the small company regime, which has its own thresholds and disclosure requirements. The right framework depends on the company's circumstances and the applicable rules for that period, and it affects how the accounts are presented and what is disclosed. Failing to deliver required accounts to Companies House by the applicable deadline can lead to consequences, and the outcome depends on the circumstances of the case, including how late the filing is. Paying any penalty does not remove the need to file the outstanding accounts. Where an appeal is considered, eligibility depends on the individual circumstances and the applicable rules rather than being guaranteed.
