What Are First Year Accounts for a Micro Company, and Does Every New Company Qualify?

First year accounts are the first set of annual statutory accounts a limited company prepares after incorporation. They cover the company’s initial accounting period, which normally runs from the date of incorporation to the company’s first accounting reference date — the date Companies House uses to determine when accounts are due each year. The first accounting period is often longer than twelve months, which is why the first set of accounts can look different from later years, and why the first filing date is usually later than the deadlines that apply afterwards. Companies House confirms the exact date for each company, and it depends on the incorporation date and the accounting reference date rather than on a single fixed rule. Statutory accounts are usually filed with Companies House where required. They are not prepared or approved by Companies House, and delivery to Companies House is simply the filing step. Alongside the accounts, the company still has other separate obligations: a confirmation statement keeping the public register up to date, Corporation Tax returns such as the CT600 submitted to HMRC where the company is within the charge to Corporation Tax, and VAT returns or payroll submissions where those apply to the business. Some smaller companies are eligible to prepare accounts using the micro-entity framework, which is set out in FRS 105, the financial reporting standard for qualifying entities using that framework. Micro-entity accounts are shorter and typically include a simplified balance sheet and limited notes. Companies House confirms the date for each company, and it is worth checking it early rather than assuming it mirrors the pattern of later years.

It depends on what the company has done since incorporation. Typical items include bank statements and transaction listings, sales and income records, purchase invoices and expense receipts, details of any assets bought, share capital information, director loan movements and any payroll or VAT records where those apply.
