What Are First Year Accounts for a Micro Company, and Who Qualifies?

First year accounts are the first set of annual statutory accounts a limited company prepares after incorporation. They cover the company’s initial accounting period, which normally begins on the date of incorporation and ends on its first accounting reference date. For a first set of accounts that period can be longer than twelve months, and the exact end date depends on the incorporation date and the accounting reference date recorded at Companies House. Filing requirements follow from those dates, so the deadline for a first set of accounts is not automatically the same for every company. The accounts usually include a balance sheet and a profit and loss account where applicable, together with any notes or disclosures the chosen reporting framework requires. Where a company meets the eligibility conditions for the micro-entity framework for the relevant period, it may prepare simpler accounts under FRS 105, the financial reporting standard applicable to qualifying micro-entities. Eligibility is assessed against the company’s own circumstances and should never be assumed simply because a company is new, small or recently incorporated; some companies fall within the small-company framework instead, and others need a fuller basis of preparation. First year accounts are not a Corporation Tax Return. A CT600 is submitted to HMRC where the company has Corporation Tax obligations, and HMRC and Companies House are separate organisations with separate filing requirements.
