First Year Accounts for Limited Company in Rawtenstall — Professional Preparation and Filing Support

Micro Entity Accounts helps newly incorporated and newly trading limited companies in Rawtenstall get their first set of statutory accounts prepared, reviewed and filed correctly. We begin with the basics: your incorporation date and accounting reference date, so the first accounting period is properly understood before any figures are put together. From there we work through the accounting records — bank transactions, sales and income records, purchase invoices, asset purchases, director transactions, share capital details, and any payroll or VAT records where relevant — and prepare accounts that reflect what has actually happened in the company. That normally means a balance sheet with supporting notes, and a profit and loss account where the applicable reporting framework requires one. Once the directors have approved the accounts, we can file them with Companies House where required. Corporation Tax is a separate matter: if the company has Corporation Tax obligations, a return such as a CT600 is submitted to HMRC, and the figures from the accounts often support that work without replacing it.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and Does Your Limited Company Qualify?

First year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. They are not optional simply because the company is new. Under UK company law, directors are responsible for keeping adequate accounting records and for preparing accounts that show the company’s financial position, and those accounts are generally delivered to Companies House where required. The first accounting period usually starts on the date of incorporation and ends on the company’s first accounting reference date, which is set when the company is formed. Because of the way that date falls, a first accounting period is not always exactly twelve months long, so first year accounts can cover a slightly different window from the annual accounts that follow. The filing deadline is worked out from the accounting reference date, and the rules for a first set of accounts are not always identical to those for later years — which is why it is worth confirming the position for your own company rather than assuming. What the accounts contain depends on the company’s size, nature and the reporting framework that applies. Typically you are looking at a balance sheet and supporting notes, plus a profit and loss account where the framework requires one. A company that meets the eligibility conditions may be able to report under the micro-entity framework, in which case the accounts are usually prepared under FRS 105, the financial reporting standard applicable to qualifying entities using that framework. Micro-entity status is not automatic and does not follow simply from being new or small; it depends on meeting the qualifying conditions for the relevant accounting period. It also helps to separate first year statutory accounts from the other filings a company may have: – Corporation Tax: a limited company may separately need to prepare and submit a Corporation Tax Return, such as a CT600, to HMRC. Filing accounts with Companies House does not submit a CT600, and submitting a CT600 does not file the company’s accounts. The company’s first Corporation Tax accounting period and its statutory accounts period may not be identical. – Confirmation statement: this is a distinct Companies House filing that confirms the company’s registered details are up to date. Filing accounts does not replace it. – VAT returns and bookkeeping: these are separate from statutory accounts, although the underlying records feed into them. Directors remain responsible for the company’s compliance even where an accountant is engaged to help. We prepare, review and file first year accounts for eligible limited companies in Rawtenstall, and a key part of that work is establishing which reporting framework actually applies to your company.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

First Year Accounts for Limited Company in Rawtenstall — Prepared Properly, Filed Correctly

When a company has only just been incorporated, the first set of accounts can sit in the background as an unfamiliar obligation while you focus on actually running the business. Many directors in Rawtenstall are unsure which accounting reference date applies to them, what records they should be keeping, which reporting framework suits their company, or what genuinely has to be sent to Companies House. Micro Entity Accounts works with newly incorporated limited companies on exactly these questions — reviewing the accounting records, preparing the first set of statutory accounts, and filing them with Companies House where required, with Corporation Tax treated as the separate HMRC matter it is. If you would like clarity on where your company stands and what needs to be done for its first accounting period, get in touch and we will talk it through.

First year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. They cover the period running from incorporation to the company's first accounting reference date, and normally include a balance sheet with supporting notes, plus a profit and loss account where the applicable reporting framework requires one. The directors approve the accounts, and they are generally filed with Companies House where required.

There is no single date that applies to every company. Your first accounting period normally runs from incorporation to your first accounting reference date, and the filing deadline is calculated from that reference date using the rules that apply to a first set of accounts. Those rules differ from the rules for later years, so it is worth confirming the exact date for your company rather than relying on a general figure. We check the position from your incorporation details as part of the preparation work.

It depends on what the company has actually done. In a straightforward case we would usually ask for bank statements and transactions, sales or income records, purchase invoices and expense receipts, details of any assets bought or sold, share capital information, director loan transactions, and any loan or finance agreements. Where the company operates payroll or is VAT registered, those records are useful too. If activity has been very limited, the information required will be far less extensive.

In most cases, yes — a limited company must file statutory accounts with Companies House, whether or not it has started trading. Companies House does not prepare the accounts and does not approve them; it receives and registers the information directors are required to deliver. There are limited exceptions, so the position should be checked rather than assumed. Accounts filing is also separate from the confirmation statement, which is a different Companies House filing.

No. First year accounts are statutory accounts delivered to Companies House, while a Corporation Tax Return such as a CT600 is submitted to HMRC. Filing one does not complete the other. Many companies use the figures from their accounts when working out their Corporation Tax position, and it is possible for the first Corporation Tax accounting period to differ from the statutory accounts period. Where both obligations apply, each needs to be dealt with in its own right.

If the company has been incorporated, it will generally still have accounts filing obligations even where it has not started trading or has had minimal activity. That does not automatically make it dormant in the statutory sense — dormancy is a defined position and depends on whether the company has had any significant accounting transactions. A company with no significant transactions may have a different reporting position, and directors still need to keep proper accounting records. We can review the circumstances and confirm what applies.

It is possible, but it is not automatic. Micro-entity status depends on meeting the qualifying conditions set out in company law for the relevant accounting period, including limits on turnover, balance sheet total and employee numbers, along with other conditions. A newly incorporated company cannot assume it qualifies simply because it is small or new. Where the micro-entity framework does apply, the accounts are usually prepared under FRS 105, the standard for qualifying entities using that framework; where it does not, another framework will be appropriate.

Failing to deliver accounts to Companies House by the applicable deadline can lead to consequences, including late filing penalties that generally increase the longer the accounts remain outstanding. The consequence is not necessarily the same in every case, and paying a penalty does not remove the requirement to file the outstanding accounts. Where an appeal against a penalty is being considered, eligibility depends on the circumstances and the applicable rules. The practical step is to deal with overdue accounts promptly and bring the filing up to date.
