First Year Accounts for Limited Company in Leamington Spa, Prepared and Filed With Professional Support

When a company has just been incorporated, almost everything about its first set of statutory accounts is unfamiliar: which dates the period covers, what has to go into the accounts, and what actually needs to be delivered to Companies House. Micro Entity Accounts prepares First Year Accounts for Limited Company directors in Leamington Spa using the company’s own accounting records, reviews the figures with you before anything is finalised, and supports the filing with Companies House where required. If the company also has Corporation Tax obligations, the CT600 is handled separately, because it is a different filing, prepared for a different purpose and submitted to HMRC rather than Companies House. Clear pricing, plain-English explanations and no jargon.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts, and When Does the Micro-Entity Framework Apply to a New Limited Company?

First-year accounts are the first set of statutory annual accounts a limited company prepares for its initial accounting period. That period generally starts on the date of incorporation, although the date the company began trading can also be relevant, and it ends on the company’s first accounting reference date. Companies House records a default accounting reference date at incorporation, and a first reporting period is commonly longer than twelve months, but the exact dates differ from company to company. Directors can sometimes shorten or amend the period, and the reliable source of truth is always the company’s own Companies House record rather than an assumption. The accounts themselves usually comprise a balance sheet and, depending on the accounting framework that applies and the company’s circumstances, a profit and loss account together with supporting notes. Directors remain responsible for the accuracy of the information in the accounts and for making sure the company meets its statutory obligations. Some newly incorporated companies are eligible to prepare accounts under the micro-entity framework, which is the simplified regime set out in FRS 105. Eligibility is not automatic and depends on meeting the applicable conditions for the accounting period in question; the small-company regime may suit other companies better. Working out which framework fits should happen before the accounts are drafted, not after, and it is a question worth settling early for directors in Leamington Spa and elsewhere who are filing for the first time. It is just as important to understand what first-year accounts are not. They are separate from a Corporation Tax Return such as a CT600, which is submitted to HMRC on its own timetable, and separate from the confirmation statement, which updates Companies House on the company’s officers, shareholders and registered details. Delivering the accounts to Companies House does not, by itself, complete any of those other obligations.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

First Year Accounts for Limited Company in Leamington Spa, Prepared Correctly the First Time

The difficulty with a first set of accounts is rarely the arithmetic. It is the uncertainty: which dates the period covers, which reporting framework applies, what supporting records are needed, and what actually has to be filed with Companies House as opposed to HMRC. Micro Entity Accounts works with directors of newly incorporated businesses around Leamington Spa to remove that uncertainty, from collating the accounting records through to preparing the first-year statutory accounts and supporting the filing with Companies House where required. Corporation Tax, including the CT600 where it applies, is treated as the separate matter it is. If your first accounting period is approaching and you would rather have the accounts prepared and reviewed properly than work it out alone, get in touch and we can take it from there.

They are the first set of statutory annual accounts a company prepares covering its initial accounting period, from incorporation or the start of trading through to its first accounting reference date. They normally include a balance sheet and, where the applicable framework requires it, a profit and loss account and notes. They are the company's first formal reporting of its financial position to Companies House, and they are not the same as a Corporation Tax Return, a confirmation statement or a VAT Return.

It depends on the company's incorporation date, its accounting reference date and the length of its first accounting period, so there is no single answer that applies to every new company. Companies House records a default accounting reference date when a company is incorporated, and the first period is often longer than twelve months. Directors can sometimes shorten or amend that period. The safest approach is to check the dates held on the company's own Companies House record and work back from there when planning the accounts.

It varies with the company's activity, but typically the preparation draws on bank statements and transactions, sales or income records, purchase invoices and business expenses, details of any assets bought, director transactions or loans, share capital information, and payroll or VAT records where those apply. If the company has had very little activity, the records needed may be much simpler. Sending what exists early usually makes the process smoother than gathering everything at the last minute.

A company can still have filing obligations even where there has been limited or no trading activity, so a newly incorporated company should not assume that nothing needs to be filed. Whether a company is genuinely dormant for reporting purposes depends on its particular circumstances and the applicable rules, and the position is not automatic simply because a bank account has seen little movement. Directors in Leamington Spa who are unsure of their status should confirm it before deciding that no accounts are due.

No. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. The two are prepared for different purposes and go to different destinations, and one does not complete the other. The figures from the accounts often feed into the tax position, and a company's first Corporation Tax accounting period may not be identical to its statutory accounts period.

Some new companies do meet the eligibility conditions for the micro-entity framework, and FRS 105 is the financial reporting standard that applies to qualifying entities using it. It is not automatic, and being newly incorporated or having low turnover does not by itself confirm eligibility. The criteria for the relevant accounting period need to be considered, and the small-company regime may be the better fit in some cases. The right framework should be decided on the company's own circumstances.

No. A confirmation statement is a separate filing that confirms Companies House holds correct information about the company's officers, shareholders, share capital and registered office. Filing first-year accounts does not satisfy that requirement, and submitting a confirmation statement does not satisfy the accounts filing requirement. Both can apply to a company, and the dates involved are not the same.

Failing to deliver accounts by the applicable deadline can lead to consequences from Companies House, and those consequences are not necessarily identical in every case. Paying any penalty does not remove the requirement to file the outstanding accounts. Where a late filing was caused by circumstances beyond the directors' control, an appeal may be possible, but eligibility depends on the reasons and the applicable rules rather than on the fact that an accountant is involved.
