First Year Accounts for Limited Company in Launceston, Prepared and Filed Properly

If your company has recently been incorporated in Launceston, its first set of statutory accounts is one of the earliest compliance tasks you will face. First Year Accounts for Limited Company work covers preparing the balance sheet, and a profit and loss account where applicable, from the accounting records you have kept, then delivering those accounts to Companies House where required. Because a first accounting period rarely follows a neat twelve-month pattern, it is worth having the figures reviewed before anything is filed. Corporation Tax is handled separately: a CT600 is submitted to HMRC, not to Companies House, and the two obligations run on their own timelines. Micro Entity Accounts supports directors of newly incorporated and newly trading limited companies with accounts preparation, records review and filing support.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company?

First-year accounts are the first set of annual statutory accounts a limited company prepares after incorporation. They cover the company’s initial accounting period, which begins on the date of incorporation and usually ends on the company’s first accounting reference date. That period is often longer or shorter than twelve months, and the dates that apply to your company are specific to its incorporation date and accounting reference date rather than being identical across every new company. The accounts typically include a balance sheet, and a profit and loss account where the reporting framework and the company’s circumstances require one, along with any notes needed to support the figures. Directors remain responsible for making sure the accounts are prepared and filed, even where an accountant is engaged to do the work. Once complete, statutory accounts are generally delivered to Companies House where required. Companies House receives and registers the filing; it does not prepare the accounts, and it does not approve them in a professional or regulatory sense. It is important not to confuse first-year accounts with other filings. A Corporation Tax Return, such as a CT600, is submitted to HMRC and is a separate requirement with its own deadline, and a company’s first Corporation Tax accounting period does not always match its statutory accounts period. A confirmation statement is another separate filing and is not replaced by submitting accounts. Where a company has had little or no activity, it still needs to consider its reporting position — that depends on its particular circumstances and the applicable rules rather than automatically making it dormant. Some newly incorporated companies qualify to report under the micro-entity framework, and FRS 105 is the financial reporting standard that applies to qualifying entities using it. Eligibility depends on the company meeting the relevant criteria for the accounting period in question, so it is worth checking rather than assuming. Where a company does not qualify, a different reporting framework will apply. Directors in Launceston with a newly incorporated company can get help working out which framework fits and how the first accounts should be put together.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

They are the first set of annual statutory accounts a company prepares after incorporation. They cover the initial accounting period, which starts on the date of incorporation and normally ends on the company's first accounting reference date. The accounts usually include a balance sheet, and a profit and loss account where the applicable framework and circumstances require one, together with supporting notes. Where required, they are delivered to Companies House. They are not the same thing as a Corporation Tax Return, which is submitted separately to HMRC.

There is no single answer that applies to every company. The deadline depends on the company's incorporation date and its accounting reference date, and Companies House generally allows a longer filing period for a company's first accounts than for later years. Rather than relying on a general assumption, it is worth confirming the exact date that applies to your company. We can help directors in Launceston check their own dates and plan the work around them.

It depends on what the company has been doing, but it usually includes bank transactions and statements, sales and income records, business expense receipts and purchase invoices, details of any assets purchased, director loan or director transaction information, share capital details, and any loans or finance arrangements. Payroll or VAT records may also be relevant where the company has those obligations. Not every company will have all of these, and the list is tailored once we understand the company's activity.

In most cases a limited company will have statutory accounts filing obligations from its first accounting period, even where activity has been limited or trading has not yet begun. Whether a company is required to file accounts, and on what basis, depends on its circumstances and the applicable rules. Not trading does not automatically mean a company can ignore its reporting responsibilities, so it is worth taking advice before assuming nothing is due.

No. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. The figures in the accounts may well be used when working out the company's Corporation Tax position, but the two filings have different purposes, different destinations and their own deadlines. Completing one does not complete the other, and a company's first Corporation Tax accounting period may not be identical to its statutory accounts period.

Some newly incorporated companies do qualify, but it is not automatic and it should not be assumed. Eligibility is assessed against the criteria that apply for the relevant accounting period, so a company needs to be checked rather than categorised by age or by the fact that it has only recently started. FRS 105 is the financial reporting standard used by qualifying entities that report under the micro-entity framework, and the appropriate framework should be confirmed before the accounts are drafted.

No, they are separate filings. The confirmation statement is used to confirm that the information Companies House holds about the company — such as directors, shareholders and registered office details — is up to date. Submitting statutory accounts does not satisfy that requirement, and a company may still need to file a confirmation statement when it falls due. Keeping the Companies House record accurate is a distinct task from preparing the annual accounts.

Failing to file required accounts by the applicable deadline can lead to consequences from Companies House, which may include a penalty, and the amount generally depends on how late the filing is. Paying any penalty does not remove the obligation to file the outstanding accounts. In some circumstances an appeal may be possible, depending on the reasons and the applicable rules. If you are unsure of your position, it is better to get advice early than to leave it unresolved.
