First Year Accounts for Limited Company in Kings Newton, Prepared and Filed with Professional Support

Your company’s first set of statutory accounts is one of the earliest compliance milestones after incorporation, and it is often the point where directors in Kings Newton discover how much detail sits behind a relatively short set of figures. Micro Entity Accounts supports directors of newly incorporated and newly trading limited companies with First Year Accounts for Limited Company work — reviewing the accounting records you hold, preparing the balance sheet and profit and loss account where applicable, considering the reporting framework that fits your circumstances, and filing the accounts with Companies House where required. Where the company also has Corporation Tax obligations, we can help you understand how those sit alongside the accounts, while keeping the distinction clear: a Corporation Tax Return such as a CT600 is submitted separately to HMRC and is a different filing from the statutory accounts delivered to Companies House.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and When Do They Apply?

First-year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They cover the period from incorporation, or from the date the company began its first accounting period, up to its first accounting reference date. Even a company that has traded very little, or has not yet started trading at all, will normally still have accounts obligations to consider, so first-year accounts are not optional simply because the company is new. The length of that first accounting period is not identical for every company. It generally depends on the incorporation date, the accounting reference date set for the company, and any change made to that date. That is why directors comparing notes with other businesses sometimes find their first filing falls at a different point in the calendar. The deadline for filing a first set of accounts also follows different rules from later years, so it is worth confirming the position for your own company rather than assuming a standard date applies. As part of this, some companies may be eligible to use the micro-entity accounting framework, and FRS 105 is the financial reporting standard applicable to qualifying entities reporting under it. Eligibility depends on whether the company meets the applicable thresholds and requirements for the relevant accounting period, and it should be assessed rather than assumed. A newly incorporated company is not automatically a micro-entity, and a low level of activity does not by itself confirm eligibility. Where a company does not qualify, another framework such as the small company regime may apply instead. The accounts themselves are normally delivered to Companies House where required. Preparing and filing them does not complete the company’s other compliance responsibilities. A Corporation Tax Return such as a CT600 is prepared and submitted to HMRC separately where applicable, and the company’s first Corporation Tax accounting period may not necessarily match its statutory accounts period. A confirmation statement is also a separate filing, used to confirm the company’s registered details, and it is not replaced by submitting the accounts. Directors in Kings Newton remain responsible for making sure these obligations are met, even where an accountant prepares the paperwork on the company’s behalf.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

They are the first set of annual statutory accounts a limited company prepares for its initial accounting period — the period beginning when the company was incorporated, or when its first accounting period started, and ending on its first accounting reference date. They typically include a balance sheet and, where applicable, a profit and loss account, along with the notes and statements required by the reporting framework the company uses. Preparing them is part of the company's statutory obligations, not an optional exercise.

The due date depends on the company's incorporation date and accounting reference date, and Companies House applies a different timescale for a company's very first accounts compared with later accounting periods. Because of that, no single date applies to every new company. We can confirm the relevant filing date for your company based on its own records rather than working from a general assumption.

In most cases we need the company's bank transactions, sales and income records, business expenses, purchase invoices, details of any assets purchased, share capital information, and records of loans or director transactions. Where the company runs payroll or is registered for VAT, the relevant payroll and VAT records are useful too. If some of that information is incomplete, we can talk through what is missing and how to fill the gaps before the accounts are finalised.

Yes, in most cases a limited company must prepare and file statutory accounts with Companies House for its first accounting period where required, even if trading has been limited. Filing accounts is separate from other obligations: it does not submit a Corporation Tax Return to HMRC, and it does not replace the confirmation statement. Directors in Kings Newton remain responsible for ensuring each of those requirements is dealt with.

No. Statutory accounts are prepared under an accounting framework and delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations. The figures in the accounts often feed into the tax return, but the two filings have different purposes, different destinations and their own requirements. It is also possible for a company's first Corporation Tax accounting period to differ from its statutory accounts period.

Some companies may qualify to report under the micro-entity framework, and FRS 105 is the standard applicable to qualifying entities using it. Eligibility depends on meeting the applicable requirements for the relevant accounting period — it is not automatic for newly incorporated companies, and low turnover on its own does not confirm eligibility. Where the micro-entity framework is not available, a company may fall within the small company regime instead. We assess this as part of the accounts work.

No. A confirmation statement is a separate filing that confirms the company's registered details with Companies House, and it is not replaced by submitting statutory accounts. A company may need to file both, and keeping the register information accurate matters because the accounts and the confirmation statement are prepared from the same underlying company records. We can flag both obligations while preparing the first-year accounts.

Failing to file required accounts by the applicable deadline can lead to Companies House consequences, and the outcome depends on the circumstances and how late the filing is. Paying any penalty does not remove the need to file the outstanding accounts. If accounts are already overdue, or a filing date has been missed for reasons outside the director's control, it is worth taking advice on what steps are available, as appeal eligibility depends on the specific situation and applicable rules.
