First Year Accounts for Limited Company in Kelsall: Professional Preparation and Filing Support

Your company’s first set of statutory accounts deserves more attention than a last-minute filing. Whether you have just incorporated a company in Kelsall or are nearing the end of your first accounting period, Micro Entity Accounts can prepare your First Year Accounts for Limited Company purposes and set out clearly what has to be filed, and where. We begin with a review of the accounting records you hold — bank transactions, sales and income records, business expenses, share capital details, director transactions and any supporting documents — then prepare a balance sheet and, where applicable, a profit and loss account in line with the reporting framework that applies to your company. Where statutory accounts are required to be delivered to Companies House, we can prepare and file them on your behalf. Accounts filing is not the same as dealing with Corporation Tax: if your company has Corporation Tax obligations, a CT600 is submitted separately to HMRC, and the relevant periods involved may not be identical.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and How Do They Apply to New Limited Companies in Kelsall?

First-year accounts are the first set of annual statutory accounts a limited company prepares. They cover the company’s initial accounting period, which normally starts on the date of incorporation and runs to the company’s first accounting reference date. That accounting reference date is set when the company is incorporated and can, subject to the applicable rules, be changed. Because the first period does not always run for a neat twelve months, the period covered by the accounts — and the date by which they must be filed — is something that has to be checked against the company’s own incorporation details rather than assumed. Statutory accounts are prepared for the company’s members and filed with Companies House where required. Company directors remain responsible for keeping adequate accounting records, for approving the accounts and for making sure the company meets its statutory obligations, even when an accountant has been engaged to prepare and file them. Some companies qualify for the micro-entity accounting framework, which allows a simplified set of accounts to be prepared under FRS 105, the financial reporting standard applicable to qualifying entities using that framework. Eligibility is not automatic: it depends on the company’s size and circumstances for the relevant accounting period, and small-company or full reporting may be more appropriate in some cases. It is also worth being clear about what first-year accounts are not. A Corporation Tax Return such as a CT600 is a separate submission made to HMRC, not to Companies House, and the company’s first Corporation Tax accounting period may not match its statutory accounts period. A confirmation statement is a further, separate Companies House requirement, and VAT returns, where a company is registered, are separate again. Filing one does not discharge the others.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

First-year accounts are the first set of annual statutory accounts prepared by a limited company for its initial accounting period. That period normally begins on the date of incorporation and runs to the company's first accounting reference date. The accounts set out the company's financial position at the end of the period and its performance across it, and are prepared under whichever reporting framework applies — the micro-entity framework, the small company regime or full reporting. Depending on the framework used, the accounts will typically include a balance sheet and, where applicable, a profit and loss account, together with any notes or statements the framework requires. For directors in Kelsall and elsewhere, the practical point is that these accounts are a statutory requirement, not an optional exercise.

There is no single answer that applies to every company. The filing deadline depends on the company's incorporation date, its accounting reference date and the Companies House requirements in force at the time. The first accounting period can be longer than the usual twelve months, which is one of the reasons first-year deadlines catch directors out. Rather than relying on a general rule of thumb, it is worth checking the specific dates that apply to your company — we can confirm the position for your company and confirm it against the records held at Companies House, so you know what you are working towards.

It depends on what the company has actually done, but typically we would ask for bank transactions and statements for the period, sales and income records, purchase invoices and business expense records, details of any assets purchased, share capital information and any director's loan or other loan transactions. Where the company operates payroll or is registered for VAT, payroll records and VAT records may also be relevant. If a company has had very little activity, the records needed will be correspondingly limited. Providing complete records early makes the preparation process smoother, but if your paperwork is incomplete we can still help you work out what is missing.

Where the company is required to file statutory accounts, yes — and that obligation is not removed by the fact that the company is new, has had limited activity or has not yet started trading. Having no significant transactions does not automatically make a company dormant; the reporting position depends on the company's circumstances and the applicable rules, and a dormant company may have different filing requirements rather than none at all. If you are unsure which category your company falls into, it is worth establishing that early, because the accounts you need to prepare follow from it.

No. They are separate requirements with separate purposes and separate destinations. Statutory accounts are delivered to Companies House where required. A Corporation Tax Return, such as a CT600, is submitted to HMRC where the company has Corporation Tax obligations. Filing accounts with Companies House does not submit a Corporation Tax Return, and submitting a CT600 does not complete the company's accounts filing. The figures in the accounts are often used as a starting point when working out the company's Corporation Tax position, but the two processes run in parallel, and the company's first Corporation Tax accounting period may not match its statutory accounts period.

No, they are different obligations. A confirmation statement is a separate Companies House filing that confirms the company's registered details — such as its directors, registered office and share information — are correct as at the confirmation date. Filing first-year accounts does not satisfy the confirmation statement requirement, and submitting a confirmation statement does not deal with the accounts. Companies generally need to keep on top of both, along with keeping their Companies House record up to date when details change.

It can, but not automatically. Eligibility for the micro-entity framework depends on the company meeting the applicable size thresholds for the accounting period in question, and those thresholds relate to turnover, balance sheet total and employee numbers. A newly incorporated company with modest activity may well qualify, but the test still has to be applied rather than assumed. Where a company does qualify, FRS 105 — the financial reporting standard applicable to qualifying entities using the micro-entity accounting framework — allows a simplified set of accounts to be prepared. If the company does not qualify, the small-company regime or full reporting may apply instead.

Failing to deliver accounts to Companies House by the applicable deadline can lead to consequences, which may include penalties and further action if the accounts remain outstanding. The outcome is not identical in every case — it depends on how overdue the accounts are and on the circumstances involved. It is also worth understanding that paying a late filing penalty does not remove the requirement to file the outstanding accounts; the filing still has to be completed. If an appeal against a penalty is being considered, whether it can be made depends on the circumstances and the applicable rules, and there is no guarantee of a particular outcome.
