First Year Accounts for Limited Company in Iron Acton, Prepared and Filed with Professional Support

A company’s first set of statutory accounts is the foundation of its filing history, and getting it right matters more than most directors expect. Micro Entity Accounts works with newly incorporated and newly trading limited companies in Iron Acton to prepare their first-year statutory accounts from accurate accounting records, review the figures with the director, and file the accounts with Companies House where required. We also explain how the first accounting period is set and how it interacts with the company’s wider compliance picture, including the separate Corporation Tax requirements handled through HMRC, such as a CT600 where one applies. If you are unsure what your first accounts need to contain or which reporting framework your company should use, we can work through it with you.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Accounting reference date

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company? Understanding Your First Statutory Accounts

Every UK limited company has to prepare a first set of statutory accounts covering its initial accounting period. These are usually described as first-year accounts. They are not optional, and the obligation does not depend on how much the company has earned or whether trading has begun. It comes from the company’s status as a limited company, not from its level of activity. The first accounting period normally starts on the date of incorporation and ends on the company’s first accounting reference date. That date is fixed when the company is formed, which can make the first period longer than twelve months. It is possible to change an accounting reference date later, but the rules around doing so are worth checking before any decision is taken, especially where the change would affect when accounts fall due. A set of first-year accounts typically includes a balance sheet and, where the applicable reporting framework requires it, a profit and loss account, together with notes and any statements required for that framework. Company directors remain responsible for making sure the accounts are correct and that proper accounting records have been kept throughout the period, even where an accountant prepares the figures. Some newly incorporated companies qualify for the micro-entity framework and can prepare simpler accounts under FRS 105, the financial reporting standard for qualifying micro-entities. Others do not, because eligibility depends on the company’s own circumstances and the limits that apply for the relevant accounting period. Being small, new or quiet does not automatically make a company a micro-entity, and the correct framework should be confirmed rather than assumed. Once complete, first-year statutory accounts are generally filed with Companies House where required. That is a separate process from the company’s Corporation Tax position, which is dealt with through HMRC. A limited company may need to submit a Corporation Tax Return such as a CT600, and the first Corporation Tax accounting period does not always match the statutory accounts period. A confirmation statement is separate again, and filing the accounts does not replace it. For directors in Iron Acton putting together their first filing, the practical questions are usually what needs preparing, what needs delivering, and when.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Get Your First Year Accounts for Limited Company in Iron Acton Prepared Properly

If your company has recently been incorporated and you are not yet certain how the first accounting period works, what records you need to pull together or which reporting framework applies, you are in a familiar position. Many directors only discover after incorporation that accounts, a Corporation Tax Return and a confirmation statement are three separate obligations with different purposes and destinations. Micro Entity Accounts can take the preparation off your desk, work from the records you already hold, prepare statutory accounts that fit your company’s circumstances, and handle the Companies House filing where required. It is a straightforward way to start your company’s filing history on a sound footing, with clear pricing and a proper explanation of what has been prepared and why.

They are the first set of statutory accounts a company prepares for its initial accounting period, which begins on the date of incorporation. They show the company's financial position at the end of that period, usually through a balance sheet, along with a profit and loss account where the applicable reporting framework requires one, plus supporting notes and any required directors' statements. They are a statutory document rather than an internal management report, and for most companies they are delivered to Companies House where required.

The date depends on the company's accounting reference date, which is set when the company is incorporated, and on the rules that apply specifically to first accounts. Because an initial period can run for longer than twelve months, the due date is not always worked out in the same way as for later years. Rather than relying on a general rule, it is better to check your company's own accounting reference date and Companies House record, and to begin preparing well before the date arrives.

It depends on what the company has actually done during the period. In most cases we ask for bank statements and transaction listings, sales and income records, purchase invoices and receipts, details of any assets purchased, share capital information, director loan account movements, and any loan or finance agreements. Where payroll has been run or the company is VAT registered, the related records are useful as well. A company with very little activity will need to provide far less, but accurate accounting records still matter if the accounts are to be prepared correctly.

In most cases, yes. A limited company is required to prepare and file annual accounts with Companies House, and that includes its first set. The obligation applies regardless of how new or how small the company is, although there are limited exceptions and different rules for certain company types. It is worth confirming the position for your own company rather than assuming, which is something we do regularly for directors in Iron Acton.

A company with limited or no activity may still have filing obligations, and the position depends on its circumstances rather than on activity alone. A company that has never traded and has no income may be able to file dormant accounts, but dormancy has a specific meaning and not every quiet company meets it. Treating a company as dormant when it is not can lead to incorrect filings, so the position is best reviewed properly as part of preparing the first accounts.

No. Statutory accounts are prepared for the company and filed with Companies House where required. A CT600 is a Corporation Tax Return submitted to HMRC, and it is a separate filing with a separate purpose and a different destination. The figures in the accounts often inform the tax return, and the two may cover similar periods, but the first Corporation Tax accounting period and the statutory accounts period do not always align. Completing one does not complete the other.

Some can, but not all. The micro-entity framework, and FRS 105 for qualifying entities, is available where a company meets the eligibility conditions for the accounting period in question. A new company with modest activity may well qualify, but eligibility is assessed against the applicable criteria rather than assumed from turnover alone. We check this as part of preparing the accounts and use the framework that suits the company's circumstances.

No, they are separate requirements. The confirmation statement is a Companies House filing that confirms the company's registered details, such as its directors, shareholders and share information, are correct. Filing first-year accounts does not satisfy that obligation, and filing a confirmation statement does not satisfy the accounts requirement. Companies need to keep track of both, alongside any Corporation Tax or VAT obligations that apply to them.
