First Year Accounts for Limited Company in Gatwick — Prepared, Reviewed and Filed With Professional Support

Your first set of statutory accounts is one of the earliest compliance milestones after incorporation, and it is easy to underestimate. Micro Entity Accounts works with directors of newly incorporated and newly trading limited companies in Gatwick to prepare first year accounts that reflect the company’s actual position — reviewing the accounting records you hold, identifying what is missing, and building a balance sheet and, where applicable, a profit and loss account for the first accounting period. Once prepared, the statutory accounts can be filed with Companies House where required. Corporation Tax is a separate matter: a CT600 is submitted to HMRC, not to Companies House, and the company’s first Corporation Tax accounting period may not match its statutory accounts period. If you would rather have the first year handled carefully from the outset, we can prepare and file on your behalf.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and Do They Apply to Every New Limited Company?

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period — the period that begins on the date of incorporation and ends on the company’s first accounting reference date. They are not optional. Even a company that has been quiet, has not yet started trading or has had very limited activity will normally have a statutory reporting position to consider, and assuming the filing obligation disappears because trading has not begun is a common and avoidable mistake. The length of that first period is not identical for every company. It depends on the incorporation date, the accounting reference date registered at Companies House and any change the company has made to that date, so two companies incorporated in the same month can end up with different first reporting dates. Statutory accounts normally include a balance sheet and, where applicable, a profit and loss account, together with supporting notes and the statements that accompany a Companies House filing. Once prepared, the accounts are delivered to Companies House where required. Some companies may be eligible to prepare accounts under the micro-entity framework using FRS 105, provided they meet the applicable eligibility conditions for the relevant accounting period. Others will fall under the small company regime, and some will need full accounts. Eligibility is a question of the company’s circumstances and the rules for that period, and it should not be assumed in advance. It is also worth being clear about what first year accounts are not. They are separate from a Corporation Tax Return such as a CT600, which is submitted to HMRC. They are separate again from the confirmation statement, which keeps the public register up to date. Completing one does not discharge the others, and the company’s first Corporation Tax period may not be the same as its statutory accounts period.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

Accurate First Year Accounts for Limited Company in Gatwick, With Filing Support That Keeps You on Track

The uncertainty usually shows up in the same place: a director has incorporated a company in Gatwick, trading may or may not have started, the records are split between a bank feed and a folder of receipts, and nobody is quite sure which reporting framework applies or what actually has to go to Companies House. Micro Entity Accounts can take that on — preparing your statutory accounts from the records you have, flagging gaps before they become a problem, and filing with Companies House where required. We will also be clear about where your Corporation Tax obligations sit separately with HMRC, so the two deadlines are not confused. If your first accounting period is approaching, or you are unsure which rules apply to your company, starting the conversation early makes the whole process considerably easier.

They are the first set of annual statutory accounts prepared for the company's initial accounting period, which begins on the incorporation date and runs to the first accounting reference date. They normally include a balance sheet and, where applicable, a profit and loss account, along with the notes and statements that accompany a Companies House filing. The directors remain responsible for making sure the accounts are prepared and delivered where required, even when an accountant handles the preparation and filing work.

The due date depends on the company's accounting reference date and on the fact that a first set of accounts can follow a different timescale from later years. A company incorporated partway through a month may also have its first period adjusted, so a single standard window does not apply to every new company. The most reliable approach is to check the specific dates recorded for your company on the Companies House register rather than assuming they match another company's. We can confirm the relevant dates for your company as part of the preparation process.

Typically the incorporation details and share capital information, bank statements and transaction records covering the period, sales and income records, purchase invoices and expense receipts, details of any assets purchased, director loan movements, and any payroll or VAT records where those apply. Not every company will have all of these — a first period with limited activity may only need a small amount of information. The more complete and organised the records, the more straightforward the preparation tends to be.

Yes. Once a company has been incorporated, it has a statutory accounts filing obligation, and the accounts are generally delivered to Companies House where required. This applies regardless of whether the company has started trading or made a profit. Where activity has been limited or nil, the reporting position still needs to be looked at, and it depends on the company's specific circumstances rather than being automatically treated as dormant.

No. First year accounts are statutory accounts delivered to Companies House where required, while a CT600 is a Corporation Tax Return submitted to HMRC where the company has Corporation Tax obligations. Both may be prepared from the same underlying accounting records, but they serve different purposes, go to different bodies and have their own requirements. Filing one does not complete the other, and the company's first Corporation Tax accounting period may not be identical to its statutory accounts period.

Some newly incorporated companies do qualify for the micro-entity framework and can prepare accounts under FRS 105, but it is not automatic and not every new company falls into it. Eligibility depends on the company meeting the applicable conditions for the relevant accounting period, and a company that does not qualify as a micro-entity may instead come under the small company regime. The appropriate framework should be assessed from the company's figures and circumstances, and we can confirm which one applies to yours.

No. The confirmation statement is a separate filing that keeps the company's details on the public register up to date, and it follows its own submission cycle. Delivering first year accounts to Companies House does not satisfy that obligation, and submitting a confirmation statement does not satisfy the accounts filing requirement. Directors of companies in Gatwick should keep both in view rather than treating either one as covering the other.

If accounts that are required are not delivered by the applicable deadline, Companies House can take action, which may include a late filing penalty. The consequences can vary depending on how late the filing is and the company's history, and paying a penalty does not remove the requirement to file the outstanding accounts. Where there is a valid reason for the delay, appeal options may exist, but eligibility depends on the circumstances and the applicable rules. Sorting an overdue filing early is almost always simpler than leaving it to build up.
