First Year Accounts for Limited Company in Fordingbridge, Prepared and Filed with Professional Support

Every newly incorporated limited company has to prepare a first set of statutory accounts covering its initial accounting period, and for many directors in Fordingbridge that first filing raises practical questions about dates, records and reporting frameworks. Micro Entity Accounts supports newly incorporated and newly trading companies with First Year Accounts for Limited Company preparation. That includes reviewing your bookkeeping and accounting records, drafting the balance sheet and profit and loss account where applicable, considering whether the company qualifies for a simplified framework, and delivering the accounts to Companies House where required. Corporation Tax is a separate matter, and any CT600 submission to HMRC is handled under different rules and to a different deadline.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

Your first filing timeline

Normally 21 months after incorporation at Companies House.

First CT600 due

What Are First Year Accounts for a Micro Company, and How Do They Apply to a New Limited Company in Fordingbridge?

First-year accounts are the first set of annual statutory accounts a limited company prepares after incorporation. They cover the company’s initial accounting period, which begins on the date of incorporation and ends on the company’s first accounting reference date. Companies House sets that accounting reference date when the company is registered, and it is generally linked to the month in which the first anniversary of incorporation falls. Because of this, a company’s first accounting period is often longer than twelve months, and it is not always identical to the period used for Corporation Tax purposes – the first Corporation Tax accounting period can end on a different date. Once the period has ended, the directors are responsible for making sure accounts are prepared and, where required, delivered to Companies House. That filing is a Companies House obligation. It is not the same as submitting a Corporation Tax Return such as a CT600 to HMRC, and it does not replace the company’s confirmation statement, which is a separate annual filing that keeps the public register up to date. Preparing and filing accounts does not complete those other obligations automatically. A newly incorporated company is not automatically a micro-entity. Some companies do meet the eligibility conditions for the micro-entity framework, and qualifying entities may prepare accounts under FRS 105, the financial reporting standard that applies to entities using that framework. Other companies fall within the small company regime or need full accounts. Eligibility depends on factors such as turnover, balance sheet total and employee numbers for the relevant period, so the right framework should be assessed for each company rather than assumed. Our role is to review the position, prepare the accounts on the correct basis and support the company through its first filing.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

If this is your company’s first set of accounts, it is understandable to feel unsure about which accounting period applies, which reporting framework fits, and what actually has to go to Companies House. Micro Entity Accounts can prepare your first-year statutory accounts from the records you hold, explain the basis on which they have been prepared, and manage delivery to Companies House where required. We will also set out clearly how that filing sits alongside separate HMRC obligations, including a Corporation Tax Return where one is due. They are the company's first set of annual statutory accounts, covering the period from incorporation to its first accounting reference date. They normally include a balance sheet, and a profit and loss account where applicable, together with any notes required by the framework the company reports under. They are prepared for the directors and, where required, delivered to Companies House. First-year accounts are not optional simply because the company is new.

The answer depends on the incorporation date and the accounting reference date that Companies House assigned when the company was registered. The first accounting period is often longer than twelve months, which means the first filing deadline is calculated differently from later years. Because dates differ from company to company, check the company's own Companies House record rather than relying on a general rule, and start preparing the accounts well before the period closes.

Usually the company's accounting records for the period: bank statements and transactions, sales and income records, purchase invoices and business expenses, details of any assets bought, share capital information, director transactions or loans, and payroll or VAT records where those apply. Not every company will have all of these - a newly incorporated company in Fordingbridge may only have formation costs and director expenses in its first period. We work with whatever records exist and flag anything missing.

A limited company generally has to prepare and deliver statutory accounts to Companies House for each financial year, including its first. Filing does not mean Companies House approves or professionally reviews the accounts; it places them on the public register. A separate confirmation statement is also usually required to keep company information up to date, and that is a different filing from the accounts.

No. Statutory accounts go to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has a Corporation Tax obligation. The figures in the accounts are often used when working out the company's tax position, but the two filings serve different purposes, go to different bodies and do not complete one another. Filing accounts with Companies House does not submit a CT600.

It may well do. A company has statutory obligations from incorporation, and having little or no activity does not automatically remove them. Whether the company can be treated as dormant depends on whether it had any significant accounting transactions - a company that has paid formation fees or other costs is not automatically dormant. The correct reporting position should be assessed from the company's actual circumstances.

Some can, but not automatically. The micro-entity framework is available to companies that meet the eligibility conditions for the relevant accounting period, and qualifying entities may prepare accounts under FRS 105, the standard applicable to that framework. Turnover alone does not decide it. We check the company's position and prepare the accounts under the framework that fits, whether that is micro-entity, small company or full accounts.

Missing the applicable deadline can lead to Companies House consequences, which may include a penalty that increases the longer the accounts remain outstanding. Paying a penalty does not remove the requirement to file, so the priority is to prepare and deliver the outstanding accounts. Whether a penalty can be appealed depends on the circumstances and the applicable rules, and we can talk you through the position if this applies to your company.
