First Year Accounts for Limited Company in Eye — Professional Preparation and Filing Support

Every UK limited company has to prepare a first set of statutory accounts for its initial accounting period, and that first set often raises more questions than any set that follows. Whether your company was incorporated recently in Eye and is already trading, is preparing to start, or is simply being held while plans take shape, the accounts still need to be prepared on the correct basis and delivered to Companies House where required. Micro Entity Accounts supports directors with preparing first-year statutory accounts from the accounting records they hold, checking that the figures, disclosures and framework fit the company’s circumstances, and handling the Companies House filing side so nothing is overlooked. Where the company also has Corporation Tax obligations, a CT600 is a separate submission made to HMRC, and we can explain how the information in the accounts feeds into that work without treating the two filings as interchangeable.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and Who Do They Apply To?

First-year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They cover the period from incorporation through to the company’s first accounting reference date, and they are the template on which later years build: the balance sheet, the profit and loss account where applicable, and the accompanying notes are all shaped by decisions taken in that first period. Companies House sets the accounting reference date based on the incorporation date, and the filing deadline for a first set of accounts is calculated from that date rather than following the same pattern as later years, so it is worth confirming the position for your own company rather than assuming a standard window applies. Statutory accounts are generally delivered to Companies House where required, and the company remains responsible for making sure that happens. The phrase “first year accounts for a micro company” comes up often because many newly incorporated companies hope to keep reporting as light as possible, but the micro-entity framework is not automatic. An eligible company may be able to prepare micro-entity accounts under FRS 105, the financial reporting standard that applies to qualifying entities using the micro-entity framework, provided it meets the applicable eligibility requirements for the relevant accounting period. Eligibility depends on the company’s size and circumstances, and some companies fall into the small-company framework instead, while others report under a fuller framework. The right answer for a company in Eye depends on its own figures and activity, not on the fact that it is new. It also helps to separate the filings clearly from the start. First-year statutory accounts are prepared for the company and its shareholders and filed with Companies House; a Corporation Tax Return, such as a CT600, is prepared for HMRC where the company has a Corporation Tax obligation; and a confirmation statement is a separate annual filing that confirms the company’s registered information. Filing one does not complete the others, and the company’s first Corporation Tax accounting period does not always match the period covered by its statutory accounts.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Micro Entity Accounts can prepare your first-year statutory accounts from the records you hold, talk you through the framework that is likely to apply to your company, and manage the filing with Companies House where it is required — with clear pricing and no hidden costs. Bringing in someone who handles new company accounts regularly means gaps in your records get picked up early, the figures are checked before anything is submitted, and you have a straightforward explanation of what has been filed and why.

They are the first set of annual statutory accounts a company prepares, covering its initial accounting period from incorporation to its first accounting reference date. They normally include a balance sheet and, where applicable, a profit and loss account, along with the notes required by the reporting framework the company uses. They are separate from a Corporation Tax Return and from a confirmation statement.

The due date depends on the company's accounting reference date, which Companies House sets from the incorporation date, and the deadline for a first set of accounts is calculated differently from the deadline for later years. Because the position varies between companies, we confirm the relevant date for your own company when we take on the work rather than applying a general rule.

Usually bank statements and transaction records, sales and income details, purchase invoices and expense records, details of any assets bought or sold, share capital information, director loans or other financing, and payroll or VAT records if those apply. If the company has had little activity, the list is shorter, but we still need enough information to confirm the position accurately.

A company generally still has statutory filing obligations even where activity has been limited or trading has not yet begun, though what it needs to report depends on its circumstances and the applicable rules. Having no significant transactions does not automatically make a company dormant for filing purposes, so it is worth checking the position rather than assuming no accounts are needed.

No. Statutory accounts are the company's annual accounts, delivered to Companies House where required, while a CT600 is a Corporation Tax Return submitted to HMRC where the company has a Corporation Tax obligation. The figures from the accounts are often used when preparing the tax return, but the two filings have different purposes, audiences and deadlines, and completing one does not complete the other.

Some newly incorporated companies do qualify, but it is not automatic and it is not decided by turnover alone. Eligibility depends on meeting the applicable requirements for the relevant accounting period. If micro-entity reporting does not apply, the small-company framework or a fuller framework may be more appropriate, and we assess this on the company's own figures.

No. The confirmation statement is a separate annual filing that confirms the company's registered details, such as its officers, share information and registered office. Filing first-year accounts does not satisfy the confirmation statement requirement, and keeping Companies House information up to date is a distinct ongoing duty.

Filing after the applicable deadline can lead to Companies House consequences, and the outcome depends on how late the filing is and on the company's circumstances. Paying any penalty does not remove the need to file the outstanding accounts, and appealing a penalty depends on the rules and the reasons for the delay being accepted. The practical priority is usually to get the accounts prepared and submitted as soon as the records allow.
