First Year Accounts for Limited Company in Ellesmere Port — Prepared and Filed With Professional Support

If your company has recently been incorporated, its first set of statutory accounts is one of the first real compliance milestones to deal with. At Micro Entity Accounts we prepare First Year Accounts for Limited Company directors in Ellesmere Port, working from your accounting records to produce a balance sheet and, where applicable, a profit and loss account under the reporting framework that fits your company’s circumstances. We review the records you send us, raise questions before anything is finalised, and deliver the accounts to Companies House where required. The company’s first accounting period and its filing deadline are based on its incorporation date and accounting reference date, so the starting point is always confirming your company’s own dates. If Corporation Tax is relevant, we will also make clear that a CT600 is a separate submission made to HMRC and is not completed by filing accounts with Companies House.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Accounting reference date

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and Who Actually Qualifies?

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They cover the period from incorporation — or from the date the company began trading, depending on the accounting reference date that applies — through to its first accounting reference date, and they are a legal obligation rather than something that only becomes relevant once a business is established. A company still has statutory accounts obligations even where it has started trading late, has had limited activity, or has not yet made a profit, so it is worth understanding what is required early rather than leaving it to the point where a deadline is close. The first accounting period is not identical for every company. It is driven by the incorporation date and the accounting reference date recorded at Companies House, which is why directors in Ellesmere Port should check their own company’s dates rather than assume a standard twelve-month period applies. Where a company meets the applicable eligibility requirements for the accounting period in question, it may be able to prepare accounts under the micro-entity framework, with FRS 105 as the financial reporting standard applicable to qualifying entities using that framework. That is not automatic: a company is not a micro-entity simply because it is new, small or quiet, and the appropriate framework should be determined from the company’s circumstances and the relevant rules. It is also important to keep first year statutory accounts separate from other obligations. A Corporation Tax Return, such as a CT600, is submitted to HMRC where applicable; a confirmation statement is a different filing that keeps the company’s registered details current at Companies House. Delivering accounts to Companies House does not complete those other requirements, and Companies House does not approve accounts in a professional or regulatory sense — it receives and registers them. Our work is to prepare the accounts accurately, in the correct format, and to file them where required.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Get Your First Year Accounts for Limited Company in Ellesmere Port Right the First Time

The uncertainty usually is not the trading itself — it is knowing which figures belong where, which reporting framework applies, and what has to reach Companies House as opposed to HMRC. Micro Entity Accounts provides professional first-year accounts preparation and filing support for newly incorporated and newly trading limited companies, including directors in Ellesmere Port who would rather have their first statutory accounts handled properly than guess at them. We start by confirming your accounting reference date and the period the accounts need to cover, then work through your records — bank transactions, sales, expenses, asset purchases, share capital and any director transactions — and prepare accounts that reflect what actually happened in the company. Where the company’s circumstances mean a Corporation Tax Return or a confirmation statement is also needed, we will point that out rather than let it pass unnoticed. If your first accounting period is approaching, or you simply want to know where your company stands, talk to us before the deadline becomes the deciding factor.

They are the first set of annual statutory accounts a company prepares for its initial accounting period, running from incorporation (or from when it began trading, where that is relevant) up to its first accounting reference date. They generally include a balance sheet and, where applicable, a profit and loss account, together with any notes the applicable reporting framework requires. They are a statutory requirement, not an optional exercise for a young company.

The deadline depends on the company's own circumstances. The length of the first accounting period is shaped by the incorporation date and the accounting reference date, and the date for delivering accounts to Companies House is calculated from those, so it is not the same for every newly incorporated company. The practical approach is to confirm your company's specific dates shortly after incorporation and diarise them. We can check the dates for you and explain what applies in your case.

It varies with what the company has actually done. Common items include bank statements and transaction records, sales or income records, purchase invoices and receipts, details of assets bought or sold, share capital information, director's loan account activity, and any loans or finance agreements. Where the company runs payroll or is VAT registered, payroll records and VAT returns can also be useful. You will not necessarily have all of these, and a company with limited activity will need far less. We will tell you what is relevant to your position.

Generally yes. A limited company has statutory accounts obligations that apply whether or not it has commenced trading and whether or not it has made a profit, and the accounts are delivered to Companies House where required. If a company has had no significant accounting transactions, its reporting position depends on its circumstances and the applicable rules rather than being automatically dormant. Dormancy is a separate question that needs to be assessed properly, not assumed.

No. Statutory accounts go to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. They serve different purposes and are filed in different places, and completing one does not complete the other. The figures in your accounts often feed into the tax return, which is why preparing them together usually makes sense, but the company's first Corporation Tax accounting period and its statutory accounts period may not necessarily be identical.

Some newly incorporated companies may qualify to prepare micro-entity accounts if they meet the applicable eligibility requirements for the accounting period concerned. It is not automatic — being new, or having modest activity, does not by itself confirm eligibility, and FRS 105 applies only to entities using the micro-entity framework. The right framework depends on the company's circumstances, and we assess eligibility against the relevant criteria before the accounts are prepared.

No, they are separate filings. A confirmation statement keeps Companies House updated on matters such as directors, shareholders and the registered office, while statutory accounts report the company's financial position for the accounting period. Filing your accounts does not satisfy the confirmation statement requirement, and filing a confirmation statement does not satisfy your accounts requirement. Most companies need to deal with both, and it helps to track them together.

Where accounts are not delivered by the applicable deadline, Companies House can apply late filing consequences, which may include penalties. The outcome depends on the circumstances and the length of the delay, so it is not identical in every case, and paying a penalty does not remove the requirement to file the outstanding accounts. If a deadline has already been missed, it is best to deal with it quickly rather than wait. We can help you understand your position and, where the applicable rules allow, consider whether an appeal may be appropriate. Directors in Ellesmere Port and elsewhere should treat a missed accounts deadline as something to resolve immediately.
