First Year Accounts for Limited Company in Ealing Common, Prepared With Professional Support

If your company has been incorporated recently in Ealing Common, its first set of statutory accounts is one of the earliest formal obligations you will have to deal with as a director. Micro Entity Accounts works with newly incorporated and newly trading limited companies to prepare those accounts, review the underlying accounting records, and deliver the accounts to Companies House where required. We begin by establishing the correct accounting period using the company’s incorporation date and accounting reference date, then build the balance sheet and, where applicable, the profit and loss account from the records available. Where Corporation Tax also applies, the CT600 and any related submissions to HMRC are treated as a separate exercise, because Companies House filing and HMRC filing serve different purposes even though both draw on similar accounting information.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

What Are First Year Accounts for a Micro Company, and When Do They Apply?

A limited company’s first-year accounts are the first set of statutory annual accounts it prepares for its initial accounting period. For a company incorporated in Ealing Common or anywhere else in the UK, that period normally begins on the date of incorporation and ends on the company’s first accounting reference date. Because the first accounting reference date is generally set by reference to the date of incorporation, the first period can be longer than the twelve months that later periods usually cover — although the exact position depends on the company’s incorporation date, its accounting reference date and the applicable Companies House requirements. If the company has changed its accounting reference date, that change can affect the period too. These accounts are not optional. Even a company that has had limited activity, has not yet started trading, or has only a handful of transactions may still have statutory obligations to deal with. How that position is reported depends on the facts and the applicable rules rather than on an assumption that nothing needs to be filed, and a company with no significant transactions is not automatically dormant. What the accounts are prepared from Statutory accounts are built from the company’s accounting records. Depending on the company’s circumstances, those records may include bank statements and bank transactions, sales and income records, purchase invoices and business expenses, asset purchases, share capital information, director transactions or loans, and payroll or VAT records where the company is registered for those. From that information the accounts set out the company’s financial position at the period end, usually through a balance sheet and, where applicable, a profit and loss account, together with the notes and directors’ statements required by the reporting framework the company uses. Which reporting framework applies Some newly incorporated companies meet the eligibility conditions for the micro-entity regime and can therefore prepare simpler accounts under FRS 105, the financial reporting standard applicable to qualifying micro-entities. Others fall within the small-company framework, and some will need to report under a fuller framework. Eligibility is assessed against the applicable requirements for the relevant accounting period and is not automatic: a company with modest turnover does not necessarily qualify, and qualifying for one period does not guarantee qualification for the next. FRS 105 is not a default that applies to every new limited company — it applies where the company qualifies as a micro-entity. How filing fits in Once the accounts have been prepared and approved by the directors, they are delivered to Companies House where required. Companies House receives and registers the accounts; it does not prepare them, and it does not approve their content. Filing statutory accounts is also not the same as submitting a Corporation Tax Return. A limited company may separately have Corporation Tax obligations, and any CT600 is submitted to HMRC. The company’s first Corporation Tax accounting period and its statutory accounts period do not necessarily run to the same dates. A confirmation statement is a further, separate filing that keeps the company’s registered information up to date. Delivering first-year accounts does not complete any of those other obligations. Directors remain responsible Preparing and filing the company’s first statutory accounts is ultimately a director’s responsibility. Engaging an accountant assists with preparing, reviewing and filing the required information, but it does not transfer the legal duties that come with running a limited company.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

They are the company's first set of annual statutory accounts, covering its initial accounting period. That period generally runs from the date of incorporation to the company's first accounting reference date. The accounts summarise the company's financial position at the period end, are prepared from its accounting records, and are delivered to Companies House where required.

It depends on the company's incorporation date and its accounting reference date, which is why no single date applies to every company. Companies House bases the filing deadline on the end of the first accounting period, and the first period itself can run for longer than twelve months. The most reliable approach is to check the company's own record at Companies House rather than rely on a general rule of thumb, and we can confirm the position for your company while preparing the accounts.

Usually bank statements and bank transactions, records of sales or income, purchase invoices and expense records, details of any assets purchased during the period, share capital information, and details of any loans or transactions involving directors. Where the company runs payroll or is VAT registered, those records are useful as well. If there has been very little activity, we work with whatever records exist to establish the correct reporting position.

In most cases a company still needs to deal with its statutory accounts position even where trading has not begun. Whether accounts are filed, and what they should contain, depends on the company's circumstances and the applicable requirements. A company with no significant transactions is not automatically treated as dormant — dormancy is a separate position with its own conditions. Directors in Ealing Common and elsewhere should check rather than assume nothing is due.

No. First-year statutory accounts are prepared for the company and delivered to Companies House where required. A CT600 is a Corporation Tax Return submitted to HMRC, and it is a separate filing with a separate purpose and destination. Figures from the accounts often inform the Corporation Tax position, but submitting one does not complete the other.

Some can, but not all. Micro-entity eligibility depends on meeting the applicable conditions for the relevant accounting period and is assessed on the company's own circumstances. Where a company does qualify, accounts can be prepared under FRS 105, the financial reporting standard for qualifying micro-entities. If it does not qualify, a small-company or fuller reporting framework may apply instead.

No. A confirmation statement is a separate annual filing that confirms the company's registered information, such as its officers, shareholders and registered office, and it is not a set of accounts. Delivering first-year accounts does not remove the need to keep the confirmation statement and the rest of the company's Companies House record up to date.

Where required accounts are filed after the applicable deadline, Companies House can impose consequences, and the position may vary depending on the circumstances and the length of the delay. Paying any penalty does not remove the requirement to file the outstanding accounts. If accounts are already overdue, professional help can be useful in getting the position resolved, although the outcome depends on the facts and the applicable rules.
