First Year Accounts for Limited Company in Dursley Glos, Prepared and Filed With Professional Support

Once a company is incorporated, its first set of statutory accounts becomes one of the earliest compliance matters the director has to think about. First Year Accounts for Limited Company in Dursley Glos means having those accounts prepared properly, checked against the underlying accounting records, and delivered to Companies House where required. We support newly incorporated and newly trading limited companies in and around Dursley Glos with the whole process: confirming the company’s accounting reference date, identifying what records are needed, preparing the statutory accounts, and explaining what still needs to be dealt with afterwards. Where Corporation Tax applies, it is handled separately through HMRC, usually by way of a CT600, and we can talk you through how the two obligations sit alongside each other.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

What Are First Year Accounts for a Micro Company? Guidance for Newly Incorporated Limited Companies in Dursley Glos

First-year accounts are the first set of statutory accounts a limited company prepares after incorporation. They cover the company’s initial accounting period and are generally delivered to Companies House where required. Directors of newly incorporated companies in Dursley Glos often meet these for the first time without any prior experience of the process, which is why the timing and content can feel unclear at the start. The first accounting period normally begins on the date of incorporation and ends on the company’s first accounting reference date. Companies House sets that reference date based on the month in which the company was incorporated, and it can be shortened or extended in certain circumstances, subject to the applicable rules. Because the first period is often longer or shorter than a standard twelve-month year, the figures in the accounts reflect whatever period actually applies to that company. A set of statutory accounts typically includes a balance sheet and, where the reporting framework requires it, a profit and loss account, together with any notes and statements required for that framework. The framework itself depends on the company’s circumstances. A qualifying company may be able to use the micro-entity framework, and FRS 105 is the financial reporting standard applicable to entities that meet the micro-entity criteria for the relevant period. This is not automatic: eligibility has to be assessed against the company’s size and position for that period, and if the criteria are not met, a different framework will apply. Micro-entity accounts are not the only option, and being newly incorporated does not by itself determine which framework fits. It also helps to keep the different filings separate. Statutory accounts are sent to Companies House, whereas a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations. The company’s first Corporation Tax accounting period and its statutory accounts period do not always begin and end on the same dates. A confirmation statement is a third, separate filing that confirms the company’s details on the public register, and filing accounts does not replace it. Preparing and filing one does not automatically complete the others.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

They are the first set of statutory accounts your company prepares, covering the initial accounting period from incorporation through to the company's first accounting reference date. They normally include a balance sheet and, depending on the framework used, a profit and loss account and supporting notes. These accounts are usually delivered to Companies House where required, and the figures are often also used when preparing the company's Corporation Tax position for HMRC.

It depends on your company's incorporation date and its accounting reference date, because the first filing deadline is calculated differently from later years and generally allows more time than a standard annual filing. We do not apply a one-size-fits-all date. The exact deadline for your company should always be checked against its own Companies House record, and we can confirm it for you when we take on the preparation.

Usually the company's incorporation details, accounting reference date and share capital information, together with the accounting records for the period. That may include bank statements and transactions, sales or income records, purchase invoices and expense receipts, asset purchases, director's loan transactions, and payroll or VAT records if those apply to your company. Not every company will have all of these, so the list is tailored to what your business has actually done since incorporation.

Filing obligations can still apply where a company has had little or no activity, so incorporation alone does not remove the requirement to consider the position. If there have been no significant accounting transactions, a dormant company accounts route may be available, but whether a company meets the dormancy conditions depends on its circumstances and the applicable rules rather than being assumed. Directors in Dursley Glos in this position often find it useful to have the position reviewed before deciding which route to take.

No. Statutory accounts are prepared for the company and delivered to Companies House where required, while a CT600 is a Corporation Tax Return submitted to HMRC where the company has Corporation Tax obligations. They serve different purposes and go to different places. The accounting figures may feed into the tax return, but filing one does not complete the other, and the two can also cover slightly different periods.

It may do, but qualification is not automatic. The micro-entity framework depends on meeting the applicable eligibility conditions for the relevant accounting period, and a company that does not meet them will report under a different framework instead. FRS 105 is the standard used by entities that qualify for and adopt the micro-entity framework. We confirm eligibility based on your company's actual figures before deciding how the accounts should be prepared.

No, they are separate filings. A confirmation statement confirms the company's registered details, such as directors, registered office and share capital, and it is submitted on its own schedule. Filing first-year accounts does not satisfy the confirmation statement requirement, and filing a confirmation statement does not deal with the accounts. Both may need attention in the same year.

Where required accounts are not filed by the applicable deadline, Companies House can apply consequences, and continued non-filing can lead to further action against the company and its directors. Penalty levels and whether an appeal is possible depend on the circumstances and the applicable rules, and paying any penalty does not remove the obligation to file the outstanding accounts. If accounts are already overdue, we can help prepare them and support you through the filing.
