What Are First Year Accounts for a Limited Company, and When Might Micro-Entity Reporting Apply?

First year accounts are the first set of statutory annual accounts a limited company prepares, covering the period from incorporation (or from the start of its first accounting period) through to its first accounting reference date. Companies House sets an accounting reference date for every newly incorporated company, and the company’s first accounting period is measured against that date. Because that first period can run for longer or shorter than a typical twelve-month period, the first accounts deadline does not always follow the same pattern as later years, and it is worth confirming the position for your own company rather than assuming a standard date applies. Once the period has ended, the directors are responsible for making sure statutory accounts are prepared and, where required, filed with Companies House. This is a separate obligation from a Corporation Tax Return such as a CT600, which is submitted to HMRC, and from the confirmation statement, which simply confirms that the company’s register information at Companies House remains correct. The figures in the accounts may well feed into the company’s Corporation Tax position, but the filings have different purposes and go to different places. Some companies may be able to use the micro-entity accounting framework, which is set out in FRS 105, or the small company framework, depending on their circumstances for the relevant accounting period. Eligibility is not automatic and is not decided simply by the age of the company or by a quiet first few months of trading; it depends on the applicable criteria being met.
