I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Is Worth Acting Now

Limited companies are generally required to prepare annual accounts and deliver them to Companies House by the applicable statutory deadline for the accounting reference period. When that deadline passes and the required accounts have not been delivered, those accounts become overdue. The precise deadline depends on the company’s accounting reference date, whether it is filing for the first time and other circumstances, so it is not the same for every company. Once accounts are overdue, the obligation to prepare and file them does not disappear — it continues until the accounts are delivered. Leaving them outstanding can lead to a late-filing penalty being imposed by Companies House, and the longer the position is left unaddressed, the more that may follow, including action by Companies House against the company for persistent non-compliance. Directors in Upon Thames who discover that accounts are outstanding are usually best served by working out which periods remain unfiled, gathering the underlying records and bringing the position up to date. It is also worth remembering that the accounts are only one part of company compliance: confirmation statements, Corporation Tax returns and other filings may need attention separately, depending on the company’s circumstances.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Need to Bring Overdue Accounts Up to Date? Let Us Take Care of the Preparation and Filing

Overdue accounts are easy to postpone, and the uncertainty around what is owed, what needs filing and what happens next can weigh on directors far more than the paperwork itself. Micro Entity Accounts prepares and files outstanding statutory accounts for companies in Upon Thames, reviews which accounting periods remain outstanding, and helps you understand the filing requirements that still apply. If accounts have slipped past their deadline, the practical step is to deal with them directly rather than wait for the position to grow — get in touch and we will review your circumstances and explain how we can help.

It means the filing deadline for a particular accounting period has passed and the required statutory accounts have not been delivered to Companies House. It does not mean the company has been suspended or removed from the register — it means the accounts for that period remain outstanding. The deadline itself varies depending on the company's accounting reference date and whether it is filing its first accounts, so the relevant dates should be checked rather than assumed.

Yes, in most cases. The filing obligation continues even though the deadline has passed, and the accounts still need to be prepared and delivered to Companies House where required. Filing them brings that period up to date, but it does not automatically settle any late-filing penalty already imposed, and it does not by itself resolve other separate obligations such as a confirmation statement or an outstanding Corporation Tax return.

Yes. Dormancy and overdue filing are separate matters. A dormant company can still have a Companies House filing obligation for its annual accounts, and if those accounts were not delivered by the applicable deadline, they are overdue regardless of the company having been inactive. Dormant status does not remove the requirement to file, so the position should be reviewed on the facts for each accounting period.

Where accounts are delivered after the applicable deadline, Companies House may impose a late-filing penalty. The amount and whether a penalty applies depend on the circumstances and the relevant rules, including how late the delivery is. Allowing accounts to remain outstanding for a longer period may lead to more serious consequences, which is why directors usually prefer to address overdue filings rather than leave them. Paying a penalty does not replace the requirement to file the outstanding accounts.

Where more than one accounting period is unfiled, each period generally needs its own set of accounts prepared and delivered, in the correct sequence. It is not usually possible to resolve everything with a single filing. We would normally start by confirming which periods are outstanding from the Companies House record, then work through them one at a time, subject to the records available for each period.

It may be possible to file outstanding accounts in that situation, depending on where matters have reached and the action Companies House has taken. Receiving a warning or a strike-off notice is a serious step, and filing overdue accounts does not guarantee that the process will be halted or reversed. If a company has already been dissolved, the position is different again and may require separate restoration or legal advice rather than an ordinary overdue accounts filing.

It depends on the company's circumstances and the period being prepared, but typical requirements include bookkeeping records, bank statements, invoices, expense records, details of any assets or liabilities, and the previous year's accounts where available. Company details held at Companies House are also useful. We will confirm what is required once we understand the periods outstanding and how the records have been kept.

Possibly, if the company meets the qualifying conditions for the micro-entity framework and the reporting requirements for that period. Not every small company qualifies, and eligibility needs to be considered against the company's legal structure, accounting period and circumstances. Where micro-entity accounts are appropriate, they are prepared under FRS 105; otherwise small-company accounts or another applicable reporting framework may be the correct route.
