I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What It Means When Company Accounts Are Overdue

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, which depends on the company’s accounting reference period and its individual circumstances. Once that deadline has passed and the required accounts have not been delivered, those accounts are treated as overdue — whether or not the company has been trading, has made a profit or has any current income. Directors in Streatham often find a deadline was missed for an understandable reason: a change of accountant, incomplete bookkeeping records, illness or simply losing track of the filing date. The filing obligation itself does not disappear, though. Outstanding accounts will usually still need to be prepared and delivered to Companies House, and the longer the position is left unaddressed, the more the matter can develop, including the possibility of late-filing penalties and, where non-compliance continues, further action by Companies House. Requirements are not identical for every company. A dormant company can still have overdue filing obligations, and a company may originally have been required to prepare micro-entity accounts, small-company accounts or another form of statutory accounts depending on its size, legal structure and accounting period. Any Corporation Tax obligations, CT600 Corporation Tax Returns, confirmation statements or other outstanding filings are separate matters that may also need attention. Reviewing the company’s records and its filing history with Companies House is normally the sensible first step before anything is prepared or submitted.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

How late the accounts are Private company Public company
Up to 1 month late
£150
£300

£375
£750
3 to 6 months late

£1,500
More than 6 months late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

It means the statutory deadline for delivering that set of accounts to Companies House has passed and the required accounts have not yet been delivered. The deadline itself depends on the company's accounting reference period and its own circumstances, so it is not the same date for every company. Being overdue is about whether the accounts were delivered on time — not about whether the company traded, made a profit or had any income during the period.

In most cases, yes. Where accounts are required to be delivered to Companies House, that obligation remains even after the deadline has passed. The accounts would normally still need to be prepared and filed for the relevant accounting period, subject to the applicable requirements. Leaving them outstanding does not usually remove the need to deal with them, and the position can become more involved the longer it continues.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have Companies House filing obligations, and if the required accounts were not delivered by the applicable deadline, those accounts can be overdue. Dormant status does not automatically exempt a company from filing, and the specific requirements will depend on the company's circumstances.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline, and the penalty position depends on factors such as how late the accounts are and the company's filing history. Penalties are not identical for every company, and we would not assume a particular outcome. Where you believe there were grounds for an appeal, eligibility depends on the circumstances and the applicable Companies House rules, and we can explain what may be relevant.

Yes. Payment of a penalty and the requirement to file the outstanding accounts are separate matters. Settling a penalty does not remove the obligation to prepare and deliver the accounts that remain outstanding, and it does not by itself resolve any other outstanding compliance matters the company may have.

Where a company has more than one outstanding accounting period, each period may need to be addressed separately, which can mean preparing and filing more than one set of accounts. The order in which they are dealt with and the information required will depend on the company's records and circumstances. Filing one set of accounts does not automatically clear the others, so it helps to establish the full picture first.

Possibly, but not automatically. Some companies may qualify for the micro-entity reporting framework, and if a company qualified for the relevant period it may be able to prepare accounts under that framework, including FRS 105 where applicable. Eligibility depends on the company's size, legal structure, accounting period and circumstances, so the appropriate reporting framework should be confirmed before the accounts are prepared.

Yes. Statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable. A confirmation statement is also submitted to Companies House and is separate from annual accounts. Filing overdue accounts does not automatically satisfy HMRC Corporation Tax obligations or replace a confirmation statement, so any other outstanding filings may need to be dealt with separately.
