I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What It Means When Company Accounts Are Overdue

Company accounts generally need to be delivered to Companies House by the applicable statutory deadline for the company’s accounting reference period. When that date passes and the required accounts have not been filed, the accounts become overdue — the filing obligation itself does not disappear, and the company’s record will continue to show the outstanding filing until it is dealt with. Filing deadlines are not identical for every company; the date depends on factors such as the accounting reference period, whether it has been changed, and the company’s own circumstances. That is why it is worth checking the position on the Companies House register rather than assuming everything is in order. Acting sooner usually keeps matters more manageable, because the longer accounts remain outstanding, the more periods can accumulate and the more serious the consequences may become, including late-filing penalties and further action by Companies House. Dormant status or a period of little activity does not automatically remove the requirement to file, and the form the accounts take — micro-entity, small-company or otherwise — depends on the company’s size, structure and reporting framework. If your accounts are overdue, we can review what is outstanding and assist with bringing the filing position up to date.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts become overdue when the filing deadline for a set of statutory accounts has passed and those accounts have not been delivered to Companies House. An overdue filing does not mean the obligation has gone away — the accounts remain outstanding on the company's record until they are prepared and filed. Deadlines vary depending on the company's accounting reference period and its circumstances, so it is worth checking the current position on the Companies House register and any correspondence the company has received.

There are many reasons: a change of accountant, a period of inactivity, incomplete bookkeeping records, illness, or simply a missed reminder. Some directors assume a quiet year means nothing needs filing, but a company can still have a statutory accounts obligation even when little or no activity has taken place. Whatever the cause, the practical answer is the same — establish which accounting periods are outstanding and prepare the accounts that are due.

In most cases, yes. Dormancy and overdue filing are separate issues. A dormant company can still have annual accounts filing obligations with Companies House, and if those accounts were not delivered by the applicable deadline, they are overdue in the usual way. Dormant accounts are also not the same as micro-entity accounts or small-company accounts. Where a company has not traded, simpler accounts may be possible, but eligibility should be confirmed rather than assumed.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. Whether a penalty applies, and how it is calculated, depends on the circumstances and on the Companies House rules in force at the time — penalty amounts are set by Companies House rather than by an accountant. Paying a penalty does not remove the requirement to file the outstanding accounts or take them off the company's record; the filing obligation and the penalty are separate matters. Where a director believes a penalty was issued incorrectly, an appeal may be possible depending on the circumstances, and we can talk through the position with you.

Where several accounting periods have been missed, each one generally needs to be addressed separately, with its own set of accounts prepared and filed for the relevant period. Filing one set of accounts will not usually resolve the other outstanding periods. The information required can be more extensive in these cases — often including bookkeeping records, bank statements, invoices, expense records and details of any previous filings — and the amount of work involved depends on the number of periods and the records available.

Yes. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable. Delivering overdue accounts to Companies House does not automatically satisfy any Corporation Tax obligations, and a company may also need to deal with its confirmation statement, which is a separate Companies House filing. Where more than one compliance matter is outstanding, each needs to be considered on its own terms, and we can review what applies to your circumstances.

Some companies may qualify for the micro-entity reporting framework, which uses FRS 105, but not every company does — eligibility depends on the company's size, legal structure, accounting period and circumstances. Where several periods are outstanding, eligibility may need to be considered for each period separately. If your company does qualify, the accounts can still be prepared under the micro-entity framework for the relevant periods, subject to the applicable requirements.

We review what is outstanding, confirm which accounting periods need attention and prepare the statutory accounts required for each one. We assist with filing the accounts with Companies House, keep you informed about progress and ask you to review and approve the documents before anything is submitted. We can also explain how any outstanding Corporation Tax or confirmation statement matters sit alongside the accounts filing. Our accountants are fully qualified and regulated by ICAEW, ACCA and AAT, and our pricing is clear and transparent, with no hidden costs.
