I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Overdue Company Accounts Filing Means for Directors in St. Helens

Company accounts become overdue when the date for delivering them to Companies House has passed and the required accounts are still outstanding. That date is not the same for every company — it depends on factors such as the company’s accounting reference period, whether a first set of accounts is being filed and the company’s individual circumstances — so it is worth checking the specific deadline that applies rather than assuming. When accounts are late, the underlying obligation does not go away, and directors remain responsible for making sure the company meets its filing requirements. Bringing the outstanding accounts up to date is usually the starting point, but it does not automatically settle everything else: confirmation statements, Corporation Tax obligations and other HMRC matters may need to be addressed separately. Directors in St. Helens who are unsure how many periods are outstanding, or what the accounts should contain, can ask us to review the position before anything else slips.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts are overdue when the statutory filing deadline for a set of annual accounts has passed and those accounts have not been delivered to Companies House. The applicable deadline varies between companies and depends on matters such as the accounting reference period, whether it is a first set of accounts and the company's particular circumstances. Once the date has passed, the accounts remain outstanding until they are properly prepared and filed, and the obligation rests with the company and its directors.

There is no single reason. In practice, accounts commonly become overdue because bookkeeping records were incomplete, bank statements had not been reconciled, a director assumed nothing needed filing because the company was not trading, or a deadline was simply overlooked during a change of accountant or a busy period. The accounts still have to be prepared on the correct basis for that accounting period, so the first step is usually to establish exactly what is outstanding and what information is available.

Yes. Where a company remains on the register and accounts were required for an accounting period, those accounts generally still need to be prepared and delivered to Companies House, even if they are late. Filing them does not automatically resolve other compliance matters, such as confirmation statements or Corporation Tax filings, which may need to be dealt with separately. Persistent failure to file can also lead to Companies House taking action, so it is sensible to address outstanding periods rather than leave them.

Yes. Dormancy and overdue filing are two separate issues. A dormant company still has Companies House filing obligations, and if the required accounts were not delivered by the applicable deadline, those accounts are overdue. The content of dormant company accounts may be simpler depending on the circumstances, but dormancy on its own does not remove the need to file where a filing obligation applied.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and the amount can depend on how late the filing is and the company's filing history. The penalty and the filing requirement are separate matters: paying a penalty does not remove or cancel the obligation to prepare and deliver the outstanding accounts. Whether a penalty can be appealed depends on the circumstances and the applicable Companies House rules.

Each outstanding accounting period generally needs to be addressed separately, which means several sets of accounts may have to be prepared and filed. Filing one period does not resolve the others, and the information required for each period can differ depending on the records available. We can review the Companies House record, identify which periods are outstanding and work through them in a sensible order.

They are separate obligations. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable, and a confirmation statement is delivered to Companies House but is not the same document as annual accounts. Submitting overdue accounts to Companies House does not automatically satisfy HMRC Corporation Tax obligations or replace a confirmation statement, so outstanding matters may need to be handled individually.

Some companies that qualify may be able to prepare accounts under the micro-entity framework, with FRS 105 applying to qualifying entities that use it. Eligibility depends on the qualifying conditions for the relevant accounting period, so an overdue company may originally have been required to prepare micro-entity accounts, small-company accounts or another applicable form of statutory accounts. We can review your circumstances, prepare the outstanding accounts on the correct basis and support the Companies House filing, subject to the applicable requirements.
