I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue — and Why It Matters

Company accounts generally need to be delivered to Companies House by the applicable statutory deadline for the company’s accounting reference period. When that deadline passes and the required accounts have not been delivered, the accounts become overdue. That is a record of a missed filing rather than a change to the company’s legal status, but it is something directors should address promptly, because Companies House records are publicly available and persistent non-compliance can lead to further action in serious or repeated cases, including the possibility of strike-off procedures. The precise deadline and the accounts that are required depend on the company’s circumstances — its accounting reference date, whether it has traded, its size, the reporting framework that applies and whether earlier periods have already been filed. A company with more than one outstanding period will usually need to deal with each accounting period separately. It is also worth being clear about what filing overdue accounts does and does not do: it does not, by itself, cancel any late-filing penalty that may have been incurred, and it does not settle separate obligations such as confirmation statements or Corporation Tax Returns, which are handled on their own terms. In most cases, taking advice early makes the process far more manageable than leaving the accounts outstanding for longer.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts become overdue when the statutory filing deadline for a set of accounts has passed and those accounts have not been delivered to Companies House. The deadline is calculated from the company's accounting reference period and its individual circumstances, so it is not identical for every company. An overdue filing means a required document is outstanding — on its own, it does not change the company's status on the register.

Yes. In most cases, accounts that should have been delivered to Companies House remain outstanding until they are prepared and filed, even though the deadline has passed. Whether the company is trading, quiet or dormant, the filing obligation normally continues unless a specific exemption or alternative applies. Depending on the circumstances, the accounts may have originally needed to be prepared as micro-entity accounts, small-company accounts or another applicable form of statutory accounts, so the correct framework should be confirmed before preparation begins.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still be required to deliver annual accounts to Companies House, and if that filing is missed, the accounts become overdue in much the same way as for a trading company. Dormant status does not automatically remove the filing requirement, so it is worth reviewing the company's records and accounting periods rather than assuming nothing is due.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and the penalty position can vary depending on how late the filing is and the company's filing history. Paying a penalty does not remove the requirement to file the accounts; the filing obligation and the penalty are separate matters. They are also separate from late-filing penalties that HMRC may apply to a Corporation Tax Return. Where a penalty has been issued, eligibility to appeal depends on the circumstances and the applicable Companies House rules.

Where more than one accounting period is outstanding, each period generally needs its own set of accounts prepared and delivered. Filing a single period does not automatically resolve the others. We can review the company's filing history, identify which periods remain outstanding and work through them in a sensible order so the overall position can be brought up to date.

Overdue accounts do not automatically suspend a company or remove it from the Companies House register, and not every company with a late filing is dissolved. However, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If a strike-off notice has already been issued, or the company has been dissolved, the situation may call for separate restoration or legal advice rather than being treated as an ordinary overdue accounts filing.

Yes. Statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable. Delivering overdue accounts to Companies House does not automatically satisfy any outstanding HMRC Corporation Tax obligations. A confirmation statement is separate again — it is filed with Companies House and does not replace annual accounts. A company may therefore need to deal with several filings, and we can help identify which ones apply.

Micro Entity Accounts works with company directors who need outstanding accounts brought up to date. We can review the filing position, confirm which accounting periods remain outstanding, prepare the accounts under the appropriate reporting framework and assist with delivery to Companies House. Our accountants are fully qualified and regulated by ICAEW, ACCA and AAT, and we explain each stage clearly before anything is submitted, as documents normally require director review and authorisation prior to filing.
