I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Overdue Company Accounts Mean for Directors in Spalding

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, which is based on the company’s accounting reference period and its own circumstances. When that deadline passes and the required accounts have not been delivered, the accounts are overdue. There is no separate label to apply — the filing is simply late, and the obligation to prepare and deliver the accounts remains in place until they are actually filed. Directors in Spalding sometimes assume nothing needs doing because the company has not traded, has no income, or has stopped operating. That is not automatically the case. A dormant company can still have annual accounts filing obligations, and dormancy is a different matter from an overdue filing. Nor does an overdue filing mean a company has been suspended or removed from the register; it means the deadline has passed and the accounts are outstanding. Where late-filing penalties apply, they are treated separately from the filing itself, and paying a penalty does not remove the need to prepare and deliver the outstanding accounts. The longer accounts remain outstanding, the more serious the consequences may become, so it is usually better to deal with them promptly. Where several accounting periods are outstanding, each period may need to be prepared and filed individually, and the reporting framework depends on the company’s size, legal structure and eligibility — which may be micro-entity accounts under FRS 105, small-company accounts, or another applicable form, subject to the relevant requirements. Our role is to review what remains outstanding, prepare the accounts accurately, and assist with delivering them to Companies House.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Statutory accounts are overdue when the applicable Companies House filing deadline has passed and the required accounts have not yet been delivered. Overdue accounts are not a different type of accounts — they are the same annual accounts, simply filed after the deadline. The deadline itself depends on the company's accounting reference period and its circumstances, so it is worth checking the filing date recorded for your own company rather than assuming a standard date applies.

Yes. The requirement to prepare and deliver statutory accounts to Companies House, where required, does not disappear once the deadline has passed. The accounts stay outstanding until they are filed. Bringing the filing up to date does not, on its own, settle other compliance matters, so you may also need to consider a confirmation statement, Corporation Tax obligations such as a CT600 Return submitted to HMRC, or an earlier accounting period that is still outstanding. Where a Companies House warning or strike-off notice has already been received, that may need separate attention, so it is sensible to take advice before assuming a routine filing will resolve everything.

Yes, it can. Dormancy and overdue filing are separate issues. A dormant company can still have annual accounts filing obligations, and if the required accounts were not delivered by the applicable deadline, those accounts are overdue. Dormant status does not by itself remove or postpone the filing requirement, and dormant accounts are not the same thing as overdue accounts. The accounts still need to reflect the company's actual position for the period in question.

Companies House can impose late-filing penalties where accounts are delivered after the applicable deadline. A penalty is not optional, and it is not necessarily the same for every company, since the amount can depend on how late the filing is and the company's circumstances. Paying a penalty does not remove the requirement to file the outstanding accounts. If you believe a penalty should not apply, eligibility to appeal depends on the circumstances and the applicable Companies House rules, and we can talk that through with you.

No. The penalty and the filing obligation are separate matters. Paying a late-filing penalty does not discharge the requirement to prepare and deliver the outstanding accounts to Companies House, and it does not make the filing itself go away. The accounts still need to be prepared and filed, and where more than one accounting period is outstanding, each period may need to be addressed individually, subject to the relevant requirements.

Where a company has more than one outstanding accounting period, several sets of accounts may need to be prepared and delivered. Filing one set does not automatically resolve the others. The reporting framework for each period depends on the company's size, structure and eligibility at the relevant time — some periods may fall within the micro-entity framework and FRS 105, while others may require small-company accounts or another applicable form. We can work through the outstanding periods in order and confirm what information is needed for each one.

Some companies may qualify for the micro-entity framework, and where they do, micro-entity accounts can be an appropriate way to prepare a qualifying period that is overdue. Not every company qualifies, and eligibility depends on the company's legal structure, accounting period and circumstances. Overdue accounts should not be assumed to be micro-entity accounts simply because the business is small. We can review your position and confirm which framework applies before any accounts are prepared.

Micro Entity Accounts supports directors and companies in Spalding with overdue and outstanding accounts. We review what has been filed and what remains outstanding, identify the information needed — such as bookkeeping records, bank statements, invoices, previous accounts and company details — and prepare the accounts for your review and authorisation before they are delivered to Companies House. We also explain how separate matters, such as confirmation statements or Corporation Tax obligations, may need to be handled. We cannot guarantee Companies House acceptance or prevent penalties, but we can make the process clearer and better organised.
