I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Is Worth Acting Early

Company accounts become overdue when the applicable filing deadline for a set of annual accounts has passed and those accounts have not yet been delivered to Companies House. Deadlines are not identical for every company. They depend on factors such as the company’s accounting reference period, whether it is a first set of accounts and other circumstances, so the sensible starting point is usually to confirm exactly which periods remain outstanding on the Companies House record. Once a deadline has passed, the obligation to prepare and file does not disappear. Directors of a company in Southend remain responsible for making sure the required statutory accounts are prepared and delivered, whether the company has traded actively, had a quiet year or is dormant. Late-filing penalties may apply where accounts are delivered after the due date, and the longer a filing stays outstanding, the more significant the consequences can become, which can include an increased risk of compliance or strike-off action. Where more than one accounting period is outstanding, each period generally needs to be addressed in its own right. Delivering overdue accounts also does not automatically settle separate obligations, such as confirmation statements or Corporation Tax matters handled by HMRC. What is required depends on the company’s structure, accounting periods and circumstances, so we review the position before anything is prepared or submitted for your approval.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

Up to 1 month late

3 to 6 months late

More than 6 months late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

It means the statutory filing deadline for a set of annual accounts has passed and those accounts have not yet been delivered to Companies House. The company does not lose its status simply because a filing is late, but the accounts remain outstanding on the Companies House record and the filing obligation continues until they are prepared and submitted. The applicable deadline depends on your accounting reference period and other circumstances.

Yes, in most cases the requirement to prepare and deliver statutory accounts to Companies House continues after the deadline has passed. Overdue accounts still need to be prepared for the relevant period and filed where required, and the fact that the company has not traded in that period does not by itself remove the obligation. Where applicable, each outstanding period is dealt with separately.

It can. Dormancy and overdue filing are separate matters. A dormant company may still be required to prepare and deliver annual accounts to Companies House, so if that filing was missed, the accounts would be overdue even though the company was not trading. Depending on the circumstances, a dormant company may have its own filing requirements and exemptions, which we can review.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline, and the longer a filing remains outstanding, the more serious the consequences may become. Paying a penalty does not remove the requirement to file the outstanding accounts, as these are separate matters. Persistent non-compliance can also increase the risk of further action, so it is usually better to address overdue filings sooner rather than later.

Where more than one period is outstanding, each set of accounts generally needs to be prepared and filed separately. Filing one period does not automatically resolve the others, and the information required may differ from one period to the next. We can review the Companies House record and your accounting information to establish which periods are outstanding and how best to work through them.

An overdue filing does not mean a company is automatically dissolved or removed from the register. However, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If you have already received a strike-off notice, or the company has been dissolved, that situation may need separate restoration or legal advice rather than being treated as an ordinary overdue filing.

Some companies may qualify to prepare micro-entity accounts, including for periods that are already overdue, but not every company does. Eligibility depends on factors such as the company's legal structure, accounting period and size, and on the reporting framework that applies. Where FRS 105 is relevant, it is the financial reporting standard used by qualifying entities applying the micro-entity framework. We confirm the appropriate basis before preparing anything.

Yes. Statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable, and a confirmation statement is a separate Companies House filing again. Filing overdue accounts does not automatically satisfy those other obligations, so a company may still need to deal with its confirmation statement, Corporation Tax position or other outstanding filings separately.
