We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── OVERDUE ACCOUNTS EXPLAINED

Understanding Overdue Company Accounts and Why They Matter

Company accounts have to be delivered to Companies House by the statutory deadline that applies to the company’s accounting reference period. Once that date passes without delivery, the accounts are overdue — the filing obligation does not disappear, and the outstanding accounts still need to be prepared and filed where required. The deadline is not identical for every company: it depends on the accounting reference period, whether it is a first set of accounts and the company’s own circumstances, so the sensible starting point is to check the Companies House record and confirm exactly which periods are outstanding. Some directors assume nothing needs to be filed because the company has not traded, has no income or has been dormant, but a dormant company can still have annual accounts filing obligations. It is generally better to deal with overdue accounts sooner rather than later. The longer they remain outstanding, the more the position can compound; Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline; and persistent non-compliance can increase the risk of further action being taken. Bringing the records up to date also makes it easier to see whether anything else is outstanding, such as a confirmation statement, accounts for an earlier period, or Corporation Tax matters with HMRC. Once the full picture is clear, the accounts can be prepared on the correct reporting basis, reviewed and authorised by the director, and delivered to Companies House where required.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

How late the accounts are Private company Public company
Up to 1 month late
£150
£300
1 to 3 months late
£375
£750
3 to 6 months late

More than 6 months late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

It means the applicable deadline for delivering those accounts to Companies House has passed and the accounts have not yet been filed. Overdue accounts do not resolve themselves — the filing obligation remains, and the accounts still need to be prepared and delivered where required. The usual first step is to review the company's Companies House record to confirm which accounting periods are actually outstanding, as this is not always what directors expect.

Yes. Once accounts are overdue, the obligation to prepare and deliver them generally remains, and in most cases the outstanding period still has to be filed. Where more than one period is outstanding, each may need to be addressed separately depending on the circumstances. It is also worth noting that filing the accounts does not by itself cancel any late-filing penalty that may have been imposed, because the penalty and the filing requirement are separate matters.

Yes — dormancy and overdue filing are separate issues. A dormant company can still have Companies House filing obligations and can therefore have overdue accounts if the required accounts were not delivered by the applicable deadline. Dormant accounts are often simpler to prepare, but dormancy does not remove the filing requirement in the way some directors assume.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and the penalty can vary depending on how late the filing is and the company's circumstances. Paying a penalty does not remove the requirement to file the outstanding accounts. Persistent non-compliance can also increase the risk of further action by Companies House, although an overdue filing does not automatically mean a company will be struck off. It is worth checking at the same time whether anything else is outstanding, such as a confirmation statement or Corporation Tax matters with HMRC, as these are handled separately.

In some cases an appeal may be possible, but eligibility depends on the circumstances and the applicable Companies House rules, and no particular outcome can be guaranteed. Any appeal needs genuine grounds supported by the facts of the case. We can review your circumstances and explain what may be available to you.

Where more than one period is outstanding, several sets of accounts may need to be prepared and delivered, normally in the correct order. Filing one set does not automatically clear the others. The work involved depends on the records available and the period being prepared, so it helps to establish the full position before any preparation begins.

Some companies may qualify for the micro-entity reporting framework, but not all do. Eligibility depends on the company's size, legal structure, accounting period and the reporting framework that applies to it. FRS 105 is the financial reporting standard used by qualifying entities under the micro-entity framework. Where micro-entity accounts are not appropriate, small-company accounts or another applicable form of statutory accounts may be required instead.

No. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable, and a confirmation statement is a separate Companies House filing in its own right. Bringing overdue accounts up to date does not automatically satisfy those other obligations, so each one should be checked. Micro Entity Accounts can help you identify what remains outstanding and assist with preparing and filing the relevant documents.
