I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What It Means When Company Accounts Become Overdue

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, which depends on the company’s accounting reference period and its individual circumstances. When that deadline passes and the required accounts have not been delivered, they become overdue — whether or not the company has traded, whether or not it has income, and whether or not it is dormant. Overdue accounts do not simply lapse: the filing obligation remains, and Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline. The form the accounts should take depends on the company’s legal structure, size, accounting period and reporting framework; a company with an outstanding period may have originally been required to prepare micro-entity accounts, small-company accounts or another applicable form of statutory accounts. Where several accounting periods are outstanding, each one may need to be prepared and filed separately, and because Companies House records are public, an unresolved filing history can affect how the company is viewed by banks, lenders and counterparties. Directors in Sandbach who address overdue accounts early usually have more options than those who leave the matter to run, as the longer accounts remain overdue the more serious the consequences may become. We can review your circumstances, confirm which periods are outstanding and assist with preparing and filing the required documents with Companies House.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts are overdue when the applicable statutory filing deadline has passed and the required accounts have not yet been delivered to Companies House. The deadline itself depends on factors such as the company's accounting reference period and its particular circumstances, so it is not the same date for every company. Being overdue is simply a matter of whether the filing deadline has passed and whether the accounts have been delivered — nothing more, and it does not mean the company has been removed from the register or had its status suspended.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have annual accounts filing obligations at Companies House, and if those accounts were not delivered by the applicable deadline, they are overdue. Dormant status does not automatically exempt a company from filing, and it does not mean the outstanding accounts can be ignored. If you are unsure whether your company was genuinely dormant for a period, or what it was required to file, we can review the position and confirm the appropriate route.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. Penalty amounts are set by Companies House and depend on how late the filing is, so they are not the same in every case. Where a penalty has been issued, whether an appeal is possible depends on the circumstances and the applicable Companies House rules — eligibility is not automatic. It is worth noting that the penalty and the filing obligation are separate matters, and a penalty being paid or appealed does not remove the need to file the outstanding accounts.

Yes. Paying or settling a penalty does not remove the requirement to prepare and deliver the outstanding accounts. The penalty addresses the late delivery itself, while the filing obligation remains until the accounts have actually been submitted to Companies House. Treating a settled penalty as the end of the matter is one of the most common reasons a filing position gets worse over time, so the accounts still need to be brought up to date separately.

Where several periods are outstanding, each one generally needs to be addressed separately — filing one set of accounts does not normally resolve the other outstanding periods. In practice this means preparing accounts for each relevant period, using the information available for each one, and delivering them to Companies House in the required order where applicable. The volume of work depends on how many periods are outstanding, what records and previous accounts exist, and the company's circumstances. We can map out exactly which periods are outstanding before any preparation begins.

Overdue accounts do not automatically change a company's status, and a company with an outstanding filing is not automatically removed from the Companies House register. That said, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If you have received a compliance warning or a strike-off notice, this should be looked at as a priority, and if a company has already been dissolved, the position may need separate restoration or legal advice rather than being treated as an ordinary overdue filing. We can assist with preparing and filing outstanding accounts, but we cannot guarantee that filing will prevent or reverse strike-off action.

The information required depends on the company's circumstances and the accounting period being prepared. Typically it includes bookkeeping records or a full transaction listing, bank statements, sales invoices and purchase receipts, expense records, details of any assets or liabilities, previous filed accounts, and current Companies House records and company details. For companies with several outstanding periods, records may need to be reconstructed or built up period by period. If your records are incomplete, tell us what you do have and we will advise on the most practical way forward.

Possibly, but not automatically. Some companies with overdue accounts may qualify for the micro-entity reporting framework, which is set out in the financial reporting standard FRS 105 — the standard applicable to qualifying entities using the micro-entity accounting framework. Eligibility depends on the company's size, legal structure and circumstances for the relevant period, and being a small business does not by itself mean a company qualifies. An overdue company may originally have been required to prepare micro-entity accounts, small-company accounts or another applicable form of statutory accounts, and that has to be assessed period by period.

No. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable — and submitting overdue accounts to Companies House does not automatically satisfy HMRC obligations. A confirmation statement is a separate filing submitted to Companies House, and it is not replaced by filing overdue accounts. If your company has outstanding Corporation Tax Returns, an overdue confirmation statement or other HMRC matters alongside its overdue accounts, these are separate compliance points that need to be dealt with individually. We can review what is outstanding and explain which items fall where.

We prepare and file outstanding statutory accounts for limited companies and other eligible entities, including directors based in Sandbach. We start by reviewing your Companies House records and your circumstances to establish which accounting periods are outstanding, then confirm the reporting basis that applies to each one and set out what information we need. Our accountants are fully qualified and regulated by ICAEW, ACCA and AAT, and we work on clear fixed-fee pricing so you know the cost before we begin. Documents are shared with you for review and authorisation before anything is submitted, and we can assist with the Companies House filing process itself. We cannot promise a particular outcome from Companies House or HMRC, or the removal of any penalty, but we can make sure the accounts are prepared properly and the filing position is brought up to date.
