I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Matters

Limited companies are generally required to prepare annual accounts and deliver them to Companies House by the applicable statutory deadline. That deadline is not the same for every company — it depends on matters such as the company’s accounting reference period, whether it is filing its first set of accounts and its particular circumstances. When the relevant deadline passes and the required accounts have not been delivered, those accounts become overdue. This is a filing position rather than a change in the company’s status, and it does not resolve itself simply because the company has stopped trading, has no income for the period or was originally set up as a dormant company. Addressing outstanding accounts promptly is usually the simpler route, because the longer accounts remain outstanding, the more likely it is that Companies House will take further action and that late-filing penalties may apply. Filing the accounts and dealing with any penalty are separate matters — paying a penalty does not remove the obligation to deliver the accounts, and each outstanding accounting period generally has to be prepared and filed in its own right. It is also worth remembering that annual accounts filed with Companies House, a Corporation Tax Return such as a CT600 submitted to HMRC where applicable, and a confirmation statement sent to Companies House are distinct obligations, so bringing accounts up to date may not by itself settle every outstanding compliance matter. Because requirements vary from company to company, the right approach depends on the entity’s structure, its accounting periods and the reporting framework that applies to it.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

How late the accounts are Private company Public company
Up to 1 month late
£150
£300

£375
£750
3 to 6 months late

£1,500
More than 6 months late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

It means the deadline for delivering the accounts to Companies House has passed and the required accounts have not yet been filed. The company's status does not change simply because a filing is late, but the outstanding accounts still need to be prepared and delivered. Persistent failure to meet filing obligations can increase the risk of further action by Companies House, including strike-off action, although this depends on the circumstances of the company.

There is rarely a single reason. Directors may not have realised that the accounting reference period had ended, bookkeeping records may have fallen behind, there may have been a change of director or accountant, or there may have been an assumption that a quiet or inactive company had nothing to file. In most cases the underlying issue is simply that the accounts were never prepared, and the position can usually be worked through once the periods involved are identified.

Yes. Dormancy and overdue filing are separate matters. A dormant company can still have annual accounts filing obligations, and if those accounts were not delivered by the applicable deadline, the filing position is overdue. Dormant status does not automatically exempt a company from filing, so it is worth checking what was actually submitted to Companies House rather than relying on the assumption that nothing was due.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline. The level of any penalty depends on factors such as how late the filing is and the type of company, and it is not the same in every case. Penalties are not optional, and paying one does not remove the requirement to file the outstanding accounts — these are separate matters. Where a penalty has been issued, appeal eligibility depends on the circumstances and the applicable Companies House rules.

Where several periods are outstanding, each one generally needs to be addressed in its own right, which may mean preparing and filing more than one set of accounts. Filing a single period does not automatically clear the others. We can review the company's Companies House record and accounting history to establish the order in which the outstanding periods should be dealt with.

Some companies may qualify for the micro-entity reporting framework, which is set out in FRS 105, but not every company does. Eligibility depends on the company's legal structure, size, accounting period and other criteria, so the appropriate reporting framework should be confirmed before anything is prepared. Companies that do not qualify may need to prepare small-company accounts or another applicable form of statutory accounts.

Yes. Statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable. A confirmation statement is also submitted to Companies House and is separate from annual accounts. Filing overdue accounts does not automatically satisfy any outstanding Corporation Tax obligations or replace a confirmation statement, so these matters are usually reviewed alongside each other.

We can review the outstanding filing position, identify which accounting periods remain to be prepared, and prepare and file the required accounts with Companies House on your authorisation. To do that we usually need information such as bookkeeping records, bank statements, invoices, expense records, previous accounts and current company details, although exactly what is required depends on the period being prepared. We explain each step clearly, including any points that need your review or approval before submission, and can also flag other compliance matters that may need separate attention.
