I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

Overdue Company Accounts: What They Are and Why They Should Be Dealt With

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, which is based on the company’s accounting reference period and its own circumstances rather than a single date that applies to every company. When that deadline passes and the required accounts have not been delivered, the accounts become overdue — even if the company has not traded, has no income, or the director believed nothing needed to be filed. Outstanding accounts do not disappear, and the filing obligation normally continues while the company remains on the register. Addressing overdue accounts promptly is usually the sensible route, because the longer they remain outstanding, the more complex the position may become, and Companies House can impose late-filing penalties where accounts are delivered after the applicable deadline. Any penalty and the requirement to file the accounts are separate matters. What is needed in each case depends on the company’s circumstances: some companies may have originally been required to prepare micro-entity accounts, small-company accounts or another applicable form of statutory accounts, and where more than one accounting period is outstanding, each period may need to be prepared and delivered separately.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

It means the applicable statutory filing deadline has passed and the required accounts have not yet been delivered to Companies House. The deadline depends on the company's accounting reference period and its circumstances, so it is not the same for every company. Accounts commonly fall overdue because bookkeeping records were not finalised, the director was unaware of the deadline, there was a change in the company's activity, or it was assumed that nothing had to be filed. An overdue filing is a filing position, not an automatic change to the company's status.

Yes, in most cases the filing obligation continues while the company remains on the register and the requirement applies to it. Leaving accounts outstanding does not remove the requirement, and Companies House may take action against companies that do not meet their filing obligations, with persistent non-compliance potentially increasing the risk of compulsory strike-off action. Filing the accounts does not guarantee that any such action will be stopped or reversed, and if a strike-off notice has already been received or the company has been dissolved, separate restoration or legal advice may be needed. Where you are uncertain, we can review your circumstances.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have Companies House filing obligations, and if the required accounts were not delivered by the applicable deadline, those accounts are overdue regardless of the company not trading. Dormant status does not automatically mean the accounts are exempt from filing, and the position depends on the company's circumstances and the relevant requirements for the period in question.

Companies House can impose late-filing penalties when accounts are delivered after the applicable deadline, and the penalty that may apply depends on the circumstances rather than being identical in every case. Paying a penalty does not remove the requirement to prepare and deliver the outstanding accounts — the two are separate matters. An accountant cannot automatically reduce, cancel or appeal a penalty, and eligibility for any appeal depends on the circumstances and the applicable Companies House rules.

In many cases, yes. Each outstanding accounting period may need its own set of statutory accounts prepared and delivered, and filing one period does not automatically resolve the others. The work involved depends on the number of periods affected, the records available and the company's reporting framework. We can review which periods remain outstanding and explain what is required for each one.

Some companies with overdue accounts may qualify for the micro-entity reporting framework, and where they do, the accounts would normally be prepared under FRS 105 — the financial reporting standard applicable to qualifying entities using that framework. Not every overdue company qualifies as a micro-entity, and a small company does not automatically qualify either. The company's legal structure, accounting period and eligibility must be considered before the appropriate reporting framework is confirmed.

Yes. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. Submitting overdue accounts to Companies House does not satisfy any outstanding HMRC Corporation Tax obligation, and a confirmation statement is a separate Companies House filing that does not replace annual accounts. A company may therefore need to deal with several compliance matters alongside its overdue accounts, and we can help identify what is outstanding.

We support company directors in Peacehaven and the surrounding area who need to bring outstanding accounts up to date. That includes reviewing which accounting periods are overdue, preparing the statutory accounts for each period from the records available, explaining what you are approving before anything is submitted, and assisting with delivery to Companies House. All accounts are prepared by accountants fully qualified and regulated by ICAEW, ACCA and AAT, with clear fixed-fee pricing and no hidden costs.
