I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue — and Why It Matters for Directors in Pinner

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, which is linked to the company’s accounting reference period and its own circumstances rather than a single date applied to every business. When that deadline passes and the required accounts have still not been delivered, the accounts become overdue. The filing obligation does not lapse with time, and Companies House can take action against companies that repeatedly fail to meet their filing obligations, so dealing with the position early is usually more straightforward than leaving it. Late-filing penalties may apply where accounts are delivered after the deadline, and it is important to understand that the penalty and the filing requirement are separate matters — addressing one does not cancel the other. Overdue accounts also cannot simply be set aside because a company is dormant, has not traded or has received no income; dormant companies can still have annual accounts filing obligations, and dormancy and overdue filing are distinct issues. Depending on the company’s structure, accounting period and reporting framework, the accounts may originally have been prepared as micro-entity accounts, small-company accounts or another applicable form of statutory accounts, and where more than one period is outstanding, each one may need to be addressed separately.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Behind on Your Company Accounts? We Can Help You Bring the Filing Up to Date

Overdue accounts often sit at the bottom of a long to-do list, and the longer they wait, the harder it can feel to know where to begin. Micro Entity Accounts can take that on for you: we review which accounting periods remain outstanding, prepare the statutory accounts for the periods concerned, and support you with filing at Companies House once you have reviewed and authorised the figures. Where relevant, we can also look at connected matters such as Corporation Tax obligations or an outstanding confirmation statement. Our pricing is transparent and fixed-fee, and we will explain what is involved before any work starts. Whatever stage your company has reached, the sensible first step is to talk it through with us.

Accounts become overdue when the applicable filing deadline has passed and the required accounts have not been delivered to Companies House. The obligation itself does not disappear — where accounts are required, they still need to be prepared and filed, even though the original deadline has gone by. The deadline that applies depends on the company's accounting reference period and its particular circumstances, so the practical starting point is usually to check the company's Companies House record and confirm which periods remain outstanding.

Yes. Dormancy and overdue filing are separate matters. A dormant company can still have a Companies House filing obligation, whether that means annual accounts or dormant company accounts where the relevant conditions are met, and if the required filing was not made by the applicable deadline the accounts can become overdue. Dormant status on its own does not remove that obligation, so the company's own filing history should be checked rather than assumed.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline, and the penalty is not optional. The amount and how it is applied depend on the circumstances, including how late the accounts are, so figures should not be quoted without checking the position. Paying a penalty does not cancel the requirement to file the outstanding accounts — the penalty and the filing obligation are separate matters and both generally need to be dealt with.

Where several periods are outstanding, each may need to be prepared and filed separately, commonly working through the earliest period first so the figures follow on correctly. The records required will vary from company to company and from period to period, and completing one set of accounts does not automatically resolve the others. We can review the filing position, confirm which periods are outstanding and set out a sensible order of work.

Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. A warning does not automatically mean the company will be dissolved, and in many cases the position can still be addressed, but it should be dealt with promptly rather than left. If a strike-off notice has already been issued, or the company has been dissolved, the situation may call for separate advice, including possible restoration, rather than being treated as an ordinary overdue accounts filing.

Yes, and it helps to keep the three areas distinct. Statutory accounts are filed with Companies House where required, a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable, and a confirmation statement is a separate submission made to Companies House. Filing overdue accounts does not by itself satisfy outstanding Corporation Tax obligations or a missing confirmation statement, so it is worth reviewing all of these together rather than assuming one filing covers the rest.

Some companies with overdue accounts may qualify for the micro-entity reporting framework, and where that applies, micro-entity accounts prepared under FRS 105 can be an appropriate route for a small company. Qualification depends on the company's legal structure, accounting period and eligibility in the period concerned, so it cannot be assumed. Other companies may need small-company accounts or another form of statutory accounts entirely, and we can confirm which framework fits your circumstances before anything is prepared.

We assist limited companies and other eligible entities with outstanding accounts. Our team reviews the company's filing position, prepares the statutory accounts for the periods concerned, and supports the submission to Companies House once you have reviewed and authorised the figures. Where it is relevant, we can also consider connected matters such as Corporation Tax obligations or confirmation statements. All of our accountants are qualified and regulated by ICAEW, ACCA and AAT.
