I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What It Means When Your Company Accounts Fall Behind

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline. When that deadline passes and the required accounts have still not been filed, the accounts are treated as overdue. The deadline itself depends on the company’s accounting reference period and its own circumstances, so directors should check the position for their particular company rather than assume a single date applies to everyone. Overdue accounts are not resolved simply because a company has stopped trading, has no income for the period, or is dormant. A dormant company can still have outstanding filing obligations, and dormancy and late filing are separate matters that need to be considered individually. Where more than one accounting period has been missed, each outstanding period may need to be prepared and filed separately. The longer accounts remain outstanding, the more the position tends to grow, particularly where a late-filing penalty has already been applied or further periods have since fallen due. If a company has received a strike-off notice, or has already been dissolved, the matter may need to be handled differently and could require separate restoration or legal advice rather than an ordinary filing. Directors in Park Drive York who are dealing with outstanding accounts can ask us to review the filing history, confirm which periods remain open and assist with preparing and filing the required documents. Where other obligations are also outstanding, such as confirmation statements or Corporation Tax matters, we can explain how those sit alongside the accounts, because they are separate compliance requirements.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Overdue company accounts are the statutory accounts a company was required to deliver to Companies House by a particular filing deadline, where that deadline has passed and the accounts have not yet been filed. The accounts do not change in nature simply because they are late; they remain the annual accounts for the relevant accounting period, and the filing obligation continues until they are prepared and delivered. Whether accounts are overdue, and by how long, depends on the company's accounting reference period and its individual filing history.

In practice, accounts most often become overdue because the accounting records were not ready in time, a director assumed no filing was required, or the deadline was overlooked during a busy period. A change of accountant, an extended period of inactivity or a first accounting period can also contribute. Whatever the reason, the deadline is set by reference to the company's accounting reference period, and once it has passed the accounts are treated as outstanding.

Yes. Where a company is required to file accounts, that obligation remains in place after the deadline has passed. The accounts still need to be prepared and delivered to Companies House where required, although how they are dealt with can depend on how many periods are outstanding and whether Companies House has already taken action. Some companies may originally have been required to prepare micro-entity accounts, small-company accounts or another form of statutory accounts, depending on size, accounting period and reporting framework, and the appropriate basis should be confirmed before preparing overdue filings.

Yes. Dormancy affects the type of accounts a company may need to prepare, but it does not automatically remove the requirement to file. A dormant company that missed its filing deadline can still have overdue accounts, and dormancy and late filing are separate issues. Where a company has never traded, or has been dormant for only part of a period, the position should be reviewed against its specific circumstances.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The penalty depends on how late the filing is and on the company's circumstances, and it is separate from the requirement to file the accounts themselves. Persistent non-compliance can increase the risk of further action, which may in some cases include compulsory strike-off action, so it is generally better to address outstanding accounts rather than leave them.

No. Paying a penalty does not cancel the underlying filing obligation. The accounts must still be prepared and delivered to Companies House where required, and settling a penalty does not make the outstanding filing disappear. If you believe a penalty has been applied incorrectly, eligibility for an appeal depends on the circumstances and the applicable Companies House rules, and we can review the position with you.

Where several periods are outstanding, each one generally needs to be prepared and filed separately, and filing one set of accounts does not automatically resolve the others. The order in which periods are dealt with can matter, particularly where figures from an earlier period feed into a later one. We can review the Companies House records, confirm which periods remain open and work through them in sequence.

Yes. Statutory accounts are filed with Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable, and a confirmation statement is a separate filing made to Companies House. Submitting overdue accounts does not automatically satisfy those other obligations. Where a company also has outstanding Corporation Tax matters or an overdue confirmation statement, these need to be addressed alongside or separately from the accounts.
