I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Matters

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, which is linked to the company’s accounting reference period and its particular circumstances. When that date passes and the required accounts have not been delivered, the accounts are treated as overdue — even where the company has been dormant, has not traded, or has received no income during the period. The obligations that follow depend on the company itself: its accounting period, its size and reporting framework, whether earlier periods are also outstanding, and whether any other filings such as confirmation statements or Corporation Tax Returns are behind as well. Because of that, the practical steps for one company may differ from another, and it is worth addressing outstanding accounts promptly rather than allowing arrears to build across several periods. Preparing the accounts normally involves reviewing bookkeeping records, bank statements, invoices, expense details and any previous accounts, so that the figures submitted are accurate and consistent with the company’s Companies House record. Where accounts are filed after the deadline, Companies House can impose late-filing penalties, and the longer the position remains unresolved, the more serious the consequences may become. Filing outstanding accounts does not automatically cancel or reduce any penalty that has already been applied, and penalties are dealt with separately from the filing itself. Our role is to review your circumstances, confirm which periods are outstanding, and assist with preparing and filing the required documents so that the company’s position can be brought up to date.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts become overdue when the applicable statutory filing deadline has passed and the required accounts have not been delivered to Companies House. It is a filing position rather than a change in the company's legal status. The deadline itself depends on the company's accounting reference period and its individual circumstances, so it is worth checking the company's Companies House record to confirm which periods remain outstanding.

Yes. Where statutory accounts are required to be delivered to Companies House and that filing has not taken place, the obligation to prepare and file them generally remains. An overdue position does not usually remove the requirement to file. The form the accounts take — micro-entity accounts, small-company accounts or another applicable framework — depends on the company's size, structure and circumstances at the relevant period.

It can. Dormancy and overdue filing are separate matters. A dormant company may still have annual accounts filing obligations at Companies House, and if those accounts were not delivered by the relevant deadline, they can become overdue. Being dormant does not automatically exempt a company from filing, and any separate Corporation Tax position would need to be considered on its own facts.

Companies House can impose late-filing penalties where accounts are delivered after the applicable deadline, and the level of any penalty depends on the length of the delay and the company's circumstances. Penalties are not optional, and they are handled separately from the filing requirement itself. Paying a penalty does not remove the need to prepare and deliver the outstanding accounts.

Where more than one period is behind, each set of outstanding accounts generally needs to be prepared and filed, so the arrears are cleared period by period rather than in a single filing. The work involved depends on what records and information are available for each period. We can review which periods remain outstanding and assist with bringing them up to date in the appropriate order.

Some companies may qualify to use the micro-entity framework, with FRS 105 as the applicable financial reporting standard, but not every company does. Eligibility depends on factors such as the company's size, the accounting period concerned and the relevant thresholds at that time. A company that qualifies now may not have qualified for an earlier period, so each outstanding period should be assessed on its own requirements.

They are separate compliance matters. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable — and delivering accounts to Companies House does not, by itself, satisfy HMRC obligations. A confirmation statement is also separate from annual accounts and is submitted to Companies House. Where any of these are outstanding, they may need to be addressed individually.

We can review your company's position, identify which accounting periods remain outstanding, and assist with preparing and filing the required accounts with Companies House. Where a company has already received correspondence about its filing obligations, we can look at the position with you and explain the options available. Using an accountant does not guarantee acceptance or prevent a penalty, but it does mean the accounts are prepared accurately and the filings are dealt with methodically.
