I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Is Worth Acting Sooner Rather Than Later

Company accounts generally have to be delivered to Companies House by the statutory deadline that applies to the company’s accounting reference period. Once that date passes without the required accounts being delivered, those accounts are treated as overdue. The deadline is not identical for every company — it depends on the accounting reference date, the period being reported on and the company’s particular circumstances — so it is worth confirming the position for each outstanding period rather than assuming one date covers everything. Accounts fall behind for all sorts of reasons: a period of illness, a change of accountant, incomplete records, an assumption that someone else was handling the filing, or simply a demanding trading year. Whatever the cause, the filing obligation does not disappear. Outstanding statutory accounts still need to be prepared and, where required, delivered to Companies House, and a dormant company is not automatically exempt either. Dealing with overdue accounts promptly is normally more straightforward than letting them accumulate, since later periods often depend on earlier ones being settled and Companies House may take action where filing obligations are repeatedly missed. Late-filing penalties may also apply once accounts are delivered after the deadline, and these are a separate matter from the requirement to file the accounts themselves. Where a company also has overdue Corporation Tax Returns, confirmation statements or other outstanding filings, those are separate compliance obligations that may need to be addressed alongside the accounts.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

Up to 1 month late

£375

3 to 6 months late

More than 6 months late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Accounts become overdue when the filing deadline for a particular accounting period has passed and the required accounts have not yet been delivered to Companies House. The deadline itself can vary depending on the company's accounting reference date and its circumstances, so it is worth checking the position period by period rather than relying on a general rule. An overdue filing is a missed deadline — it does not mean the company has been suspended or removed from the Companies House register.

In many cases, yes. Dormancy and overdue filing are separate issues. A dormant company can still have annual accounts filing obligations, and if the required accounts were not delivered by the applicable deadline they remain outstanding. Dormancy does not automatically remove the requirement to file, so the position depends on the company's circumstances and its Companies House record.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline. Whether a penalty applies, and how it is calculated, depends on the circumstances of the filing. Paying a penalty does not remove the requirement to file the outstanding accounts — the filing still has to be completed. Generally, the longer accounts remain overdue, the more serious the consequences may become, which is why addressing them early is usually the better route.

Where several accounting periods are outstanding, each one usually needs to be dealt with separately, with its own set of accounts prepared and delivered. Filing one set of accounts does not automatically resolve the others. We can review the outstanding periods, agree a practical order in which to tackle them and prepare the accounts that are required for each one.

Not automatically. Companies House may take action against companies that do not meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If a strike-off notice has already been received, or the company has been dissolved, the position is different from an ordinary overdue filing and may call for separate advice, including restoration where that is appropriate.

Some companies may qualify for the micro-entity reporting framework, which uses FRS 105 where applicable, but eligibility is not automatic. It depends on factors such as the company's legal structure, size and the accounting period in question, and a company being small does not automatically make it a micro-entity. We can review your circumstances and confirm the reporting framework that applies before the accounts are prepared.

Yes. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable. A confirmation statement is a separate submission to Companies House and is not replaced by filing overdue accounts. Bringing the accounts up to date does not automatically settle HMRC obligations or any outstanding confirmation statement, so these may need to be dealt with alongside the accounts.

We support company directors in Ormskirk with preparing and filing outstanding accounts, reviewing what remains overdue and explaining the options clearly. Our accountants are fully qualified and regulated by ICAEW, ACCA and AAT, and we work from the records you have available, telling you plainly what extra information is needed for each period. Where penalties or appeals are relevant, we can explain the position and assist subject to the applicable Companies House rules, though outcomes cannot be guaranteed.
