I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What It Means When Company Accounts Become Overdue in Newnham On Severn

A limited company generally has to deliver its annual accounts to Companies House by the statutory deadline that applies to its accounting reference period. Once that deadline has passed and the required accounts have not been delivered, those accounts are overdue — and that is true whether the company has traded actively, has had very little activity, or has been sitting dormant. The deadline itself is not identical for every company. It can be affected by factors such as the company’s accounting reference date, whether it is a first set of accounts, and its previous filing history, so the starting point is always to establish what was due and when. Directors in Newnham On Severn who discover that accounts are outstanding are usually better off treating it as a compliance matter to resolve rather than something to leave until a later date. The longer accounts remain unfiled, the more likely it is that late-filing penalties, follow-up correspondence and further compliance points will arise, although the exact consequences depend on the company’s circumstances. Bringing the position up to date normally begins with a review of what has and has not been filed, followed by preparing the accounts for each outstanding period and delivering them to Companies House where required. Where other obligations such as a confirmation statement or Corporation Tax filing are also outstanding, these usually need to be handled as separate matters.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

It means the filing deadline that applied to a particular accounting period has passed and the accounts required for that period have not yet been delivered to Companies House. Overdue filing is about the deadline and the delivery of the accounts, not about whether the company has been trading. Where accounts for one or more periods remain outstanding, they will normally still need to be prepared and filed, subject to the applicable requirements.

In most cases the filing obligation remains. Accounts become overdue because a deadline has passed, not because a company has stopped trading. A dormant or inactive company may have reduced accounting requirements, but dormancy does not automatically exempt a company from filing annual accounts at Companies House, and overdue filing and dormancy are separate issues. The position depends on the company's records and the periods concerned.

Where accounts are delivered after the applicable deadline, Companies House can impose a late-filing penalty. Penalties are not the same for every company or every period, and the amount can depend on factors such as how overdue the accounts are. The penalty is not optional, and the longer accounts remain outstanding the more serious the consequences may become, so it is usually worth addressing the filing rather than waiting.

No. Paying a penalty does not remove or cancel the requirement to file the outstanding accounts. The requirement to deliver the accounts and any applicable penalty are separate matters, and settling one does not resolve the other. If you believe a penalty has been issued incorrectly, an appeal may be possible, but eligibility depends on the circumstances and the applicable Companies House rules.

Each outstanding accounting period generally needs its own set of accounts prepared and delivered, so filing one period does not automatically resolve the others. In practice they can often be reviewed and worked through as a single project, but the order in which they are prepared matters, and later periods may depend on information from earlier ones. We normally start by confirming exactly which periods are outstanding before agreeing how to proceed.

Yes, they are separate compliance matters. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. A confirmation statement is also separate from annual accounts and is submitted to Companies House. Filing overdue accounts does not automatically satisfy these other obligations, so they may need to be dealt with individually.

Some companies may qualify to prepare accounts under the micro-entity reporting framework, and where a company qualifies, micro-entity accounts prepared under FRS 105 may be appropriate for the period in question. Not every company qualifies as a micro-entity simply because it is small, and not every overdue filing will be a micro-entity filing. Eligibility depends on the company's size, structure and circumstances, so the correct reporting framework should be confirmed before preparation begins.

In many cases the accounts can still be prepared and delivered, even where Companies House has raised concerns about outstanding filings. However, if a strike-off notice has already been issued, or if the company has been dissolved, the situation may need separate consideration, including restoration or legal advice, rather than being treated as an ordinary overdue filing. We can review your circumstances before advising on the most appropriate next step.
