I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue and Why Directors Should Act

Company accounts become overdue when the deadline for delivering them to Companies House has passed and the required accounts still have not been filed. The applicable deadline depends on the company’s accounting reference period and its individual circumstances, so directors in Newton Abbot should check the specific filing dates that apply to their own company rather than working from a generic date. Once that deadline has passed, the obligation to prepare and deliver statutory accounts does not disappear: the outstanding accounts still need to be prepared — as micro-entity accounts, small company accounts or another applicable form, depending on the company’s size, legal structure and reporting framework — and delivered to Companies House where required. It is worth acting reasonably promptly. The longer accounts remain outstanding, the more likely it is that late-filing penalties will apply, and the more involved the catch-up work tends to become, particularly where bookkeeping records are incomplete or where several accounting periods are affected. Companies House records are publicly available, so an outstanding filing is visible to banks, lenders and others who check the register. Directors should also keep in mind that overdue accounts are only one part of company compliance: confirmation statements, Corporation Tax obligations and any outstanding CT600 Returns to HMRC are separate matters that may need to be dealt with as well.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Overdue Company Accounts FAQs

Still unsure where you stand? Reach out to our UK team at info@microentityaccounts.co.uk and we will review your filing history with you.

Overdue company accounts are statutory accounts that should already have been delivered to Companies House but have not been filed by the applicable deadline. That deadline is not the same for every company — it depends on the company's accounting reference period and its particular circumstances — so the sensible starting point is to check the filing history for your company on the Companies House register. If an accounting period has passed without the required accounts being delivered, that period is generally treated as overdue, whether or not the company traded during it.

Yes, where the company is required to deliver accounts, that obligation remains even after the deadline has passed. Outstanding statutory accounts still need to be prepared and delivered to Companies House, and the form they take depends on the company's size, legal structure and reporting framework — micro-entity accounts, small company accounts or another applicable format. Companies House does not prepare accounts on a company's behalf, so the accounts must be produced, reviewed and authorised by the company before submission. Dealing with the overdue accounts also does not automatically settle separate obligations such as confirmation statements or Corporation Tax matters.

It can. Dormancy and overdue filing are two separate issues. A dormant company may still have annual accounts filing obligations, and if the required accounts were not delivered by the relevant deadline, those accounts can be overdue even though the company was not trading. Dormancy does not automatically remove the requirement to file, and it should not be assumed that accounts can be ignored simply because there was no income or activity in the period. Where a company qualifies, the accounts may be prepared under a simpler framework, but the filing itself is still required.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The penalty that may apply depends on how late the accounts are and on the company's circumstances, and it is not identical in every case. Paying a penalty does not cancel the underlying obligation — the accounts still have to be prepared and delivered. The penalty and the filing requirement are separate matters. Where a penalty has been issued, whether an appeal is possible depends on the circumstances and the applicable Companies House rules, and we can review that position with you.

Where a company has missed more than one filing deadline, each outstanding accounting period generally needs to be addressed separately, with its own set of accounts prepared and delivered to Companies House. Filing one period does not automatically resolve the others. In practice the earlier periods usually need to be dealt with first, and having previously filed accounts available can help when preparing the later ones. We can review your Companies House records to establish how many periods remain outstanding and then work through them in order.

An overdue filing does not automatically mean the company will be dissolved or removed from the register. However, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If a company has already received a strike-off notice, or has been dissolved, the situation may need to be considered separately from an ordinary overdue accounts filing and could require restoration steps or legal advice. Filing the outstanding accounts addresses the overdue filing itself, but it is not a guarantee that strike-off action will be prevented or reversed.

Yes. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable. Delivering overdue accounts to Companies House does not automatically satisfy any outstanding Corporation Tax obligations, and those will need to be addressed separately. A confirmation statement is also a distinct Companies House filing, so a company with overdue accounts may still need to bring its confirmation statement and other register details up to date.

We begin by reviewing the position — your Companies House filing history, the periods that remain outstanding and any records you already hold — and then explain what is needed to bring the accounts up to date. Our team prepares the statutory accounts and supports you through the Companies House filing process, working with fully qualified accountants regulated by ICAEW, ACCA and AAT. Pricing is set out clearly on a fixed-fee basis with no hidden costs. We work with limited companies in Newton Abbot and the surrounding area, and we keep you informed as each outstanding period is dealt with.
