Company accounts generally have to be delivered to Companies House by the statutory deadline that applies to the company’s accounting reference period. When that date passes and the required accounts have not been delivered, the accounts become overdue. The deadline is not identical for every company — it can depend on factors such as the accounting reference period, whether it is the company’s first set of accounts and the company’s particular circumstances — and being overdue simply means the deadline has passed with accounts still outstanding. Yes. Dormancy and overdue filing are separate issues. A dormant company may still be required to prepare and deliver annual accounts to Companies House, and if that has not happened by the applicable deadline, the accounts can be overdue. A company is not automatically exempt from filing simply because it has not traded or has no income, and dormant accounts still need to be prepared in line with the applicable requirements and delivered where required.

Where accounts are delivered after the applicable deadline, Companies House may impose a late-filing penalty. The level of any penalty depends on the circumstances, including how late the accounts are and the type of company, so it is not the same in every case. No. Paying a penalty and filing the outstanding accounts are separate matters.
