I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Are Overdue Company Accounts and Why Do They Matter?

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, which is set by reference to the company’s accounting reference date and its own circumstances, so not every company works to the same date. When that deadline passes and the required accounts have not been delivered, the accounts become overdue — and the filing obligation itself does not disappear. For directors in Monmouthshire, the practical questions are usually straightforward: what still needs to be prepared, what has already been submitted, and what Companies House currently holds on the company record. Overdue accounts may also sit alongside other separate obligations, such as a confirmation statement, or Corporation Tax matters dealt with by HMRC, including a CT600 Corporation Tax Return where one is due. The longer accounts remain outstanding, the more serious the consequences may become, and Companies House can impose a late-filing penalty when accounts are delivered after the deadline. Any penalty is a separate matter from the requirement to file: settling a penalty does not remove the need to deliver the outstanding accounts. The right way forward depends on the company’s structure, accounting period, size and reporting framework, which is why a review of the outstanding periods is normally the sensible first step.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts become overdue when the applicable statutory filing deadline has passed and the required accounts have not been delivered to Companies House. That deadline is based on the company's accounting reference date and its own circumstances, so it is not identical for every company. Being overdue is a question of the filing position rather than the company's trading activity — the accounts remain outstanding on the Companies House record until they are prepared and filed.

The reasons are usually practical ones: accounting records not being ready in time, a change of bookkeeper or accountant, a director being unwell or unavailable, or simply a deadline being missed during a busy period. Some directors also assume that because the company has not traded there is nothing to file. Whatever the cause, the position is assessed against the applicable deadline and whether the accounts were actually delivered to Companies House, so it is worth checking the company record and establishing exactly which periods are outstanding.

Yes. Where accounts are required, the obligation to prepare and deliver them remains even after the deadline has passed. Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and a penalty is not optional. The penalty and the filing requirement are separate matters: paying a penalty does not remove the need to file the outstanding accounts. Whether a penalty applies, and at what level, depends on the circumstances and the Companies House rules in force at the time.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have Companies House filing obligations, and if the required accounts were not delivered by the applicable deadline, those accounts are overdue. Dormant status does not automatically remove the requirement to file annual accounts. Where a company has been dormant, the accounts and any related filings still need to be reviewed on the facts for each period.

Where several accounting periods have not been filed, each period generally needs to be addressed separately, which may mean preparing more than one set of accounts. Filing a single period does not automatically resolve the others, and the position for each period depends on the company's circumstances at that time. A review of the Companies House record is normally the starting point so the outstanding periods can be identified and dealt with in a sensible order.

Some companies may qualify for the micro-entity framework, under which accounts are prepared in line with FRS 105. Not every company qualifies, however, and overdue accounts are not automatically micro-entity accounts simply because the business is small. Eligibility depends on the company's size, legal structure and circumstances for the period in question, and the appropriate reporting framework should be confirmed before preparation begins. Where a company does not qualify, small-company accounts or another applicable form of statutory accounts may be required instead.

Yes. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable. Delivering overdue accounts to Companies House does not automatically satisfy any outstanding Corporation Tax obligations, and HMRC deadlines are separate from the Companies House deadline. A confirmation statement is also a separate filing made to Companies House and is not the same thing as annual accounts. Where more than one obligation is outstanding, each needs to be dealt with on its own terms.

Micro Entity Accounts works with directors and companies on overdue and outstanding statutory accounts. We begin by reviewing what has been filed and what remains outstanding, then prepare the accounts for the relevant periods and assist with delivery to Companies House. We explain the position in plain terms, confirm what information we need and check the documents with you before submission. Where confirmation statements, Corporation Tax matters or other filings are also outstanding, we can review those alongside the accounts. Our accountants are fully qualified and regulated by ICAEW, ACCA and AAT.
