I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue — and Why It Is Worth Acting Now

A limited company is generally required to deliver its annual accounts to Companies House by the applicable statutory deadline. Once that date passes without the accounts being delivered, they are treated as overdue — whether or not the company has been trading, has made a profit or has had any activity at all. The deadline is not the same for every company; it depends on matters such as the accounting reference period, whether it is a first set of accounts and the company’s individual circumstances. Leaving overdue accounts unaddressed rarely improves the position. The underlying filing obligations still apply, and the longer the accounts remain outstanding, the more serious the consequences may become. Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline, and persistent non-compliance can increase the risk of further action. Directors of companies in Markfield who act early usually have more options available to them than those who wait. Preparing and filing the outstanding statutory accounts, checking whether a confirmation statement or a Corporation Tax Return is also outstanding, and confirming which reporting framework applies are all sensible first steps.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

3 to 6 months late

More than 6 months late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts become overdue when the statutory filing deadline for a set of annual accounts has passed and those accounts have not been delivered to Companies House. The deadline depends on the company's accounting reference period and its own circumstances, so it is not the same date for every company. Being overdue is a filing position rather than a change of company status: the company remains on the register, but the required accounts stay outstanding until they are properly prepared and filed.

In most cases, yes. Outstanding accounts can still be prepared and delivered to Companies House after the deadline has passed, provided they meet the applicable requirements for the company and the accounting period concerned. They normally need to be reviewed and approved by the director before submission. Late-filing penalties may apply where accounts are delivered after the deadline, so it is usually better to deal with the position promptly rather than let it run on further.

Yes. Dormancy and overdue filing are separate matters. A dormant company can still have an obligation to file annual accounts with Companies House, and if the applicable deadline passed without those accounts being delivered, they are overdue. Dormant status does not automatically remove the filing requirement, although the accounts themselves may be prepared on a simpler basis depending on the company's circumstances.

Where accounts are delivered to Companies House after the applicable deadline, Companies House can impose a late-filing penalty. The penalty is not optional, and how much is charged depends on how late the accounts are and the rules in force at the time. Filing the outstanding accounts and dealing with any penalty are separate matters — paying a penalty does not remove the requirement to file, and filing does not automatically cancel a penalty. If you believe a penalty has been issued incorrectly, an appeal may be possible depending on the circumstances and the applicable Companies House rules.

No. The requirement to prepare and deliver the outstanding accounts to Companies House remains in place regardless of whether a penalty has been paid. The penalty and the underlying filing obligation are handled separately, so settling a penalty does not, on its own, bring the company's filing position up to date.

Where several periods are outstanding, each one generally needs to be addressed separately. That may mean preparing and filing more than one set of accounts, in the correct order, and checking whether Corporation Tax Returns or confirmation statements are also outstanding for those periods. We can review the company's Companies House record and filing history to establish exactly what is missing before any work begins.

Yes. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. Filing overdue accounts at Companies House does not, by itself, settle any outstanding Corporation Tax obligations. If both are outstanding, they are separate compliance matters and each needs to be dealt with on its own terms.

We can review your company's position, identify which accounting periods remain outstanding and prepare the statutory accounts needed for each one. Where the company qualifies, that may include micro-entity accounts under FRS 105, although the appropriate reporting framework always depends on the company's legal structure, accounting period and eligibility. Once the accounts are ready, we can assist with filing at Companies House and set out clearly what still requires your review, approval or authorisation. We can also flag related items — such as a confirmation statement or an outstanding Corporation Tax Return — that may need attention separately.
