Company accounts generally have to be delivered to Companies House by the applicable statutory deadline for the accounting period in question. Overdue company accounts are accounts that were required but have not been delivered by that date. This does not automatically mean the company has been dissolved or removed from the register — it means the filing is late and remains outstanding until the required accounts are submitted.

In most cases, yes. The obligation to prepare and deliver statutory accounts continues after the deadline has passed, and late filing does not remove that requirement. The accounts remain outstanding until they are delivered to Companies House where required. The exact position depends on the company's circumstances, including the accounting period concerned and whether any other filings are also outstanding.

Yes. Dormancy and overdue filing are separate matters. A dormant company can still have Companies House filing obligations, and if the required annual accounts were not delivered by the applicable deadline, they can become overdue in the same way as any other company's. Dormant status does not by itself remove the filing requirement, although the form of accounts required may differ depending on the company's circumstances.

When statutory accounts are delivered to Companies House after the applicable deadline, a late-filing penalty may be issued. Whether a penalty applies, and how it is calculated, depends on the length of the delay and the company's filing history, with Companies House applying its own rules in each case. Delivering the accounts is what brings that particular filing up to date; any penalty is a separate matter from the filing itself.

Companies House may take action against companies that do not meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If you have received a reminder, warning or strike-off notice, it is worth acting rather than waiting. Filing outstanding accounts may not automatically stop or reverse action that has already begun, and if a company has already been struck off or dissolved, the situation may need separate restoration or legal advice rather than being treated as an ordinary overdue filing. Where a company has several outstanding accounting periods, each set of accounts usually has to be prepared and filed separately, so there may be a number of periods to work through in sequence. Filing one set of accounts does not automatically resolve the others. We can review what Companies House already holds, identify the periods that remain outstanding, and help you plan the order in which they are prepared and submitted.

Some companies may qualify for the micro-entity reporting framework, and where they do, FRS 105 — the financial reporting standard for the micro-entity regime — can apply to the accounts being prepared. Eligibility is not automatic and is not determined simply because a business is small. The company's size, legal structure, accounting period and circumstances all need to be considered before the appropriate reporting framework is confirmed.
