Overdue company accounts are accounts whose statutory filing deadline has already passed without the accounts being delivered to Companies House. Being overdue is a filing position rather than a statement about the company's health or its registration — the company normally remains on the register. The obligation to prepare and deliver the accounts continues, and in most cases the earlier the position is brought up to date, the more straightforward it tends to be. The deadline that applied to your company depends on its accounting reference period and its particular circumstances.

There is rarely a single reason. Common causes include a director being unaware of the deadline, incomplete bookkeeping records, an accounting reference date that has been changed, a change of accountant part way through the year, a period of illness or personal difficulty, or simply an assumption that a dormant or quiet period means nothing needs to be filed. Whatever the cause, the filing requirement itself does not disappear, and the position is usually easier to resolve when it is reviewed and addressed directly.

Yes. Dormancy and overdue filing are separate issues. A dormant company still has Companies House filing obligations in most circumstances, so if the required accounts were not delivered by the applicable deadline, they can be overdue. Being dormant does not automatically exempt a company from filing annual accounts, and the position depends on the company's circumstances and the relevant requirements.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and the level of penalty can increase the longer the accounts remain outstanding. Penalty amounts and how they apply are not the same for every company, so the position depends on the circumstances. Paying a penalty does not cancel the requirement to file the outstanding accounts — these are separate matters. It is also worth remembering that any late-filing penalty appeal depends on eligibility and the applicable Companies House rules, and an accountant cannot simply arrange for a penalty to be reduced, removed or cancelled.

Where several periods are outstanding, each one generally needs to be prepared and filed separately, and dealing with one period does not automatically clear the others. The accounts are usually approached in order, starting with the earliest outstanding period, since later figures often depend on earlier ones. Alongside the Companies House filings, there may be separate matters to address, such as overdue Corporation Tax Returns or CT600 submissions to HMRC, or an outstanding confirmation statement. Failing to meet filing obligations does not automatically mean a company will be dissolved or removed from the register. However, Companies House may take action against companies that do not meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. Filing the outstanding accounts does not guarantee that any action already under way will be stopped or reversed. If your company has received a strike-off notice, or has already been dissolved, the situation usually needs separate advice — restoration or legal advice rather than a routine overdue accounts filing.

Some companies may qualify for the micro-entity reporting framework, and where they do, overdue accounts can be prepared on that basis. Not every company qualifies, though, and eligibility must be considered before the reporting framework is decided. Where it applies, FRS 105 is the financial reporting standard used by qualifying entities adopting the micro-entity accounting framework. The right approach depends on the company's legal structure, size, accounting period and circumstances, so we review these before preparing anything.
