It means the statutory deadline for delivering the company's accounts to Companies House has passed and the required accounts have not been filed. The accounts remain outstanding until they are prepared and delivered where required. An overdue filing does not automatically change the company's status or remove it from the register, but it does mean the company is not currently meeting that particular filing obligation, and the position on Companies House records will reflect that.

The most common reasons are that the filing deadline was missed, bookkeeping records were incomplete, the director was unsure which form of accounts applied, or the company had already stopped trading and the filing was overlooked. Whatever the reason, the requirement to file generally remains, and the appropriate route forward depends on the company's accounting reference period, its reporting framework and the periods that are outstanding.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still be required to deliver annual accounts to Companies House, and if those accounts were not filed by the applicable deadline, the filing is overdue. Assuming that dormancy removes the obligation, or that no accounts are needed at all, can add to the problem rather than resolve it.

Where accounts are delivered after the applicable deadline, Companies House can impose a late-filing penalty. The penalty that may apply and whether it is payable depend on the circumstances, including how late the filing is and the company's filing history. Paying a penalty does not remove the requirement to file the accounts, and filing the accounts does not automatically cancel or reduce a penalty that has already been charged.

In many cases, yes, but each outstanding period generally needs to be addressed separately. That may mean preparing and filing more than one set of accounts, each covering its own accounting period, and checking whether other obligations such as confirmation statements or Corporation Tax returns are also outstanding. It is worth confirming the full picture first, because filing one set of accounts does not automatically resolve the others.

An overdue filing on its own does not mean the company is automatically dissolved or struck off the register. However, Companies House may take action against companies that repeatedly fail to meet their filing obligations, and continuing non-compliance can increase the risk of compulsory strike-off action. If the company has already received a warning or a strike-off notice, that usually needs to be looked at as a distinct matter. If a company has already been dissolved, restoration or legal advice may be needed rather than a standard overdue filing.

Not automatically. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable. A confirmation statement is a separate filing made to Companies House and is not replaced by filing accounts. Getting overdue accounts up to date does not by itself satisfy HMRC obligations or settle any outstanding confirmation statement, so these matters often need to be reviewed alongside one another.
