It means the statutory filing deadline for a particular accounting period has passed and the required accounts have not been delivered to Companies House. The company remains on the register and the obligation to file does not disappear simply because the date has gone by. The accounts still need to be prepared and submitted, and any separate matters — such as confirmation statements or Corporation Tax returns — may also need attention depending on your circumstances.

In our experience the reasons are usually practical rather than deliberate: a first set of accounts after incorporation was not anticipated, records were not kept up to date during the year, a director was unwell, or the company changed accountants partway through. Sometimes a director assumed that a dormant or quiet company had nothing to file. Whatever the reason, the position is generally fixable. We can establish which periods remain outstanding and what is needed to bring them up to date.

Dormancy and overdue filing are separate matters. A dormant company can still be required to deliver annual accounts to Companies House, and it can still have overdue accounts if it missed the applicable deadline. Being dormant does not automatically remove the filing obligation. Where the company has genuinely been dormant for the period, the accounts may take a simpler form, but the requirement to file and the eligibility for any particular reporting treatment both need to be considered before anything is submitted.

Companies House can issue a late-filing penalty when accounts are delivered after the applicable deadline. The penalty that may apply depends on how late the accounts are and on the company's circumstances, so not every company faces the same outcome. Paying a penalty and filing the accounts are two separate things — settling a penalty does not remove the requirement to prepare and deliver the outstanding accounts. Where a penalty has been issued, we can explain the position and whether an appeal may be worth considering under the applicable Companies House rules.

They can usually be worked through together as a single exercise, but each outstanding period generally needs its own set of accounts prepared and filed. Filing one period does not automatically clear the others from the Companies House record. The order and approach can depend on the periods involved, the records available and whether any later periods affect the earlier figures. We would normally review the full sequence first so that the accounts are consistent with one another.

In many cases, yes — accounts can still be prepared and delivered, and doing so may address part of the compliance issue. However, a strike-off notice or an existing dissolution is a different situation from a straightforward overdue accounts filing, and it may require separate steps or legal advice alongside the accounts themselves. We cannot guarantee that filing will prevent or reverse strike-off action. If your company has received formal notice, it is worth speaking to us promptly so the position can be reviewed while options remain open.

It depends on the company and the accounting period being prepared, but we would typically ask for bookkeeping records or a summary of transactions, bank statements, sales and purchase invoices, expense records, details of any assets or loans, the company's registration details and, where available, previously filed accounts. If records are incomplete, we can work with you to reconstruct a reasonable position. You will have the opportunity to review and approve the draft accounts before anything is submitted.

They may be, but only where the company meets the qualifying conditions for the micro-entity framework for the period in question. Not every small company qualifies, and eligibility depends on factors such as balance sheet total, turnover and employee numbers, along with the company's legal structure. FRS 105 is the financial reporting standard that applies to qualifying entities using the micro-entity framework. If the company does not qualify, small company accounts or another applicable form of statutory accounts would be prepared instead.

Statutory accounts are delivered to Companies House, while Corporation Tax returns such as the CT600 are submitted to HMRC where applicable, and a confirmation statement goes to Companies House separately from the annual accounts.
