Company accounts become overdue when the applicable filing deadline has passed and the required accounts have still not been delivered to Companies House. The deadline is based on the company's accounting reference period and its particular circumstances, so it is not the same date for every company. If you are unsure whether accounts are outstanding, we can check the position and confirm which periods remain to be filed.

In most cases, yes. A company that has not traded, or has had no income, may still have an obligation to prepare and deliver annual accounts to Companies House. Dormancy does not automatically remove that requirement, and dormancy and overdue filing are separate issues — a dormant company can have overdue accounts if the filing deadline passed without the accounts being delivered. The exact position depends on the company's circumstances and filing history.

Companies House can impose late-filing penalties where accounts are delivered after the applicable deadline, and the penalty generally increases the longer the accounts remain outstanding. Penalty amounts depend on the company's circumstances and the applicable rules, so we do not quote figures without checking. Paying a penalty does not remove the requirement to file the outstanding accounts — filing and any penalty are separate matters.

Where more than one accounting period is outstanding, each set of accounts generally needs to be prepared and filed separately, and they are usually submitted in the correct order. Filing one period does not automatically resolve the others. Overdue accounts do not mean the company's status is automatically suspended or removed from the Companies House register. However, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If a strike-off notice has already been received, or the company has been dissolved, the situation may need separate restoration or legal advice rather than being treated as a routine overdue filing.
