We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue — and Why It Is Worth Sorting Out Sooner Rather Than Later

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, and that deadline is not identical for every company. It depends on factors such as the company’s accounting reference period, whether it is a first set of accounts, and the company’s own circumstances. Once the deadline has passed without the required accounts being delivered, those accounts become overdue — whether the company has been trading actively, has had a quiet year, or the director was simply unaware that a filing was due. The obligation to prepare and deliver statutory accounts to Companies House, where required, does not disappear simply because the deadline has gone by. A company with more than one outstanding accounting period may need to deal with each period separately, and a dormant company can have overdue accounts in the same way as a trading one, because dormancy and overdue filing are two different matters. Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of further action, so bringing accounts up to date is usually the more practical course. Directors in Stratford Upon Avon who are unsure which periods remain outstanding can start with a review of the company’s filing requirements, which gives a clear picture of what needs preparing and what may follow.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

It means the applicable filing deadline has passed and the required accounts have not yet been delivered to Companies House. Company accounts generally have to be delivered by a statutory deadline, which depends on the company's accounting reference period and its particular circumstances. Being overdue is a matter of the deadline passing without delivery — it does not depend on whether the company has been trading or making a profit, and it does not mean the company's status has been suspended or changed on the register.

Yes, in most cases the accounts still need to be prepared and delivered to Companies House where that requirement applies. The original filing obligation continues after the deadline passes, and the accounts do not become optional because they are late. It is worth remembering that statutory accounts filed with Companies House and HMRC Corporation Tax Returns such as a CT600 are separate obligations, and a confirmation statement is also a separate filing. Dealing with one does not automatically resolve the others, so it helps to look at the company's compliance position as a whole.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have annual accounts filing obligations, and if the required accounts were not delivered to Companies House by the applicable deadline, they can become overdue just as they can for a trading company. Applying for dormant status does not remove the requirement to file, so dormant directors should check the company's Companies House records rather than assuming nothing is due.

When accounts are delivered to Companies House after the applicable deadline, a late-filing penalty may apply. Penalty levels are set by Companies House and depend on how late the accounts are, so it is not accurate to say that every late filing attracts the same penalty. The longer accounts remain outstanding, the more the position can escalate, and persistent non-compliance can increase the risk of further action by Companies House. If the company has received a strike-off notice or has already been dissolved, that is usually a different situation that may require separate restoration steps or legal advice rather than an ordinary overdue filing.

Yes. The penalty and the filing obligation are separate matters. Paying a late-filing penalty does not remove the requirement to prepare and deliver the outstanding accounts, and it does not cancel the underlying filing obligation. If you believe a penalty should not have been applied, it may be possible to appeal, but eligibility to appeal depends on the circumstances and the applicable Companies House rules, and there is no guarantee about the outcome.

Where several accounting periods are outstanding, each one may need to be addressed separately. That usually means more than one set of accounts has to be prepared and delivered, and the figures for one period often depend on the position carried forward from an earlier one. The work involved depends on the number of periods, the quality of the underlying records and the company's circumstances, so it is not possible to give a fixed completion timeframe in advance. We can review what is outstanding and set out the order in which the periods can be dealt with.

Overdue accounts do not automatically mean a company will be struck off or dissolved. Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action being taken. Filing the outstanding accounts is part of putting things right, but it should not be assumed that doing so will automatically prevent or reverse any action already under way. Where a strike-off notice has been issued or a company has been dissolved, that position may need separate advice.

Where a company qualifies, it may be able to prepare and file micro-entity accounts under the micro-entity reporting framework, and FRS 105 is the financial reporting standard that applies to qualifying entities using that framework. Not every company qualifies, and eligibility depends on factors such as the company's legal structure, accounting period, size and reporting framework, so the position should be confirmed before the accounts are prepared. The company may originally have been required to prepare micro-entity accounts, small-company accounts or another applicable form of statutory accounts. Micro Entity Accounts can review which periods are outstanding, identify the appropriate reporting framework, prepare the accounts and assist with filing at Companies House, using simple fixed-fee pricing and keeping you informed at each stage.
