I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Overdue Company Accounts Filing Means for Your Company

Company accounts must usually be delivered to Companies House by the applicable statutory deadline for the company’s accounting reference period. Once that date passes without the required accounts being delivered, the accounts are treated as overdue, regardless of whether the company traded during the period. Deadlines are not identical for every company, and the date that applies will depend on factors such as the company’s accounting reference date, any previous period of dormancy and whether it is a first set of accounts. Addressing outstanding accounts promptly is generally sensible because Companies House can impose a late-filing penalty where accounts are delivered after the deadline, and the longer the accounts remain outstanding, the more serious the consequences may become. Filing the accounts and settling any penalty are separate matters: paying a penalty does not remove the requirement to file the outstanding accounts. Dormant companies can also have overdue accounts, since dormancy does not by itself remove annual accounts filing obligations. Depending on the circumstances, an overdue company may have originally been required to prepare micro-entity accounts, small-company accounts or another form of statutory accounts, so the appropriate reporting framework needs to be confirmed before preparation begins. Filing company accounts with Companies House is also distinct from Corporation Tax obligations, which are dealt with separately through HMRC and may include a CT600 Corporation Tax Return where applicable, and from the confirmation statement, which is a separate Companies House filing. If several accounting periods are outstanding, each one may need to be prepared and filed in turn. Directors of companies in Shipston On Stour and the surrounding area can contact us for a review of their outstanding filing position and practical help in bringing it up to date.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Accounts become overdue when the filing deadline that applies to your company's accounting reference period has passed and the required statutory accounts have not been delivered to Companies House. The deadline is not the same for every company and can be affected by factors such as the accounting reference date and whether it is a first set of accounts. Being overdue is simply a question of the deadline having passed with the accounts still outstanding.

Yes. The filing obligation does not disappear because the deadline has been missed. The accounts still need to be prepared and delivered to Companies House where required, and any late-filing penalty that Companies House applies is usually dealt with separately from the filing itself. Paying a penalty does not remove the requirement to file the outstanding accounts.

It can. Dormancy and overdue filing are separate issues. A dormant company may still have annual accounts filing obligations with Companies House, and if those accounts were not delivered by the applicable deadline, they are overdue. Whether a dormant company qualifies for any filing exemption depends on its specific circumstances, so the position should be checked before assuming no filing is needed.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline, and the consequences can become more serious the longer the accounts remain outstanding. Persistent failure to meet filing obligations may also increase the risk of further action by Companies House, including compulsory strike-off proceedings in some cases. Dissolution is not automatic, and if a strike-off notice has already been issued or the company has been dissolved, the situation may need separate restoration or legal advice rather than being treated as an ordinary overdue filing.

Where several periods are outstanding, each one generally needs to be addressed separately, with its own set of accounts prepared and filed. Filing one period does not automatically clear the others. Preparing multiple sets of accounts normally requires the records for each period to be reviewed in order, and the time this takes depends on the state of the bookkeeping and the information available.

It varies with the company and the periods concerned, but typically we ask for bookkeeping records, bank statements, invoices and expense records, details of any assets or liabilities, previous accounts where they exist, and current company information. The exact requirements depend on the accounting period being prepared and the reporting framework that applies to your company. We will confirm what is needed once we understand your circumstances.

They are separate compliance matters. Statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable. Delivering overdue accounts to Companies House does not on its own satisfy any outstanding HMRC Corporation Tax obligations, so both should be reviewed. A confirmation statement is also separate from annual accounts and may need attention in its own right.

Where the company qualifies for the micro-entity framework, micro-entity accounts prepared under FRS 105 may be an option for the outstanding period. Not every company qualifies, and eligibility depends on the company's size, legal structure, accounting period and circumstances, so we confirm the appropriate reporting framework before preparation begins. Our accountants are fully qualified and regulated by ICAEW, ACCA and AAT and can assist with Overdue Company Accounts Filing in Shipston On Stour, including company accounts preparation, reviewing outstanding filing requirements and support with Companies House submission.
