Company accounts, also known as statutory accounts or annual accounts, normally have to be delivered to Companies House by the applicable statutory deadline. That deadline depends on the company's accounting reference period and its own circumstances, so it is not the same date for every company. Once the deadline passes without the accounts being delivered, they are treated as overdue, and the filing obligation remains outstanding until the accounts are properly prepared and submitted.

In most cases, yes. An overdue filing means the deadline has passed, not that the requirement has disappeared. The accounts generally still need to be prepared and delivered to Companies House where required, and the appropriate form of accounts depends on the company's size, legal structure, accounting period and eligibility. Some companies may qualify to prepare micro-entity accounts under FRS 105, while others need small-company accounts or another applicable reporting framework, so the position should be confirmed before filing.

Yes. Dormancy and overdue filing are separate matters. A dormant company can still have annual accounts filing obligations at Companies House, and if those accounts were not delivered by the applicable deadline, they can become overdue in the same way as any other company's. Dormant status does not automatically remove the requirement to file, although the accounts themselves may be prepared on a different basis depending on the circumstances.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline, and the longer the accounts remain outstanding, the more serious the consequences may become. Persistent failure to meet filing obligations can also increase the risk of further action, which may include compulsory strike-off action in certain cases. Requirements are not identical for every company, and Companies House may take action against companies that do not meet their filing obligations, so it is generally better to address overdue accounts promptly rather than leave them unresolved.

No. Penalties and filing obligations are separate matters. Paying a penalty does not cancel the requirement to prepare and deliver the outstanding accounts, and it does not automatically close the matter. A penalty is also not something an accountant can simply reduce, remove or cancel. Whether an appeal is possible depends on the circumstances and the applicable Companies House rules, and eligibility would need to be checked against those rules.

Where several accounting periods are outstanding, each one may need to be prepared and filed separately, and filing one set of accounts does not automatically resolve the others. The order in which the periods are dealt with can matter, and the reporting framework may differ between periods if the company's size or status has changed. We would normally begin by reviewing what Companies House and HMRC each hold on record so the full picture is clear before work starts.
