Company accounts must normally be delivered to Companies House by the applicable statutory deadline, which depends on the company's accounting reference period and its particular circumstances. Once that deadline has passed without the accounts being delivered, the accounts are overdue. Being overdue does not change the underlying requirement — the accounts still need to be prepared and filed, and the position should generally be reviewed rather than left in place.

Not trading and being exempt from filing are two different things. A dormant company can still have Companies House filing obligations, and dormancy does not by itself remove the requirement to deliver annual accounts. If accounts were not filed by the applicable deadline, they can be overdue regardless of whether the company was active during that period. What the company does need to file depends on its circumstances, including whether it met the dormancy conditions for the period in question.

Companies House can impose late-filing penalties where accounts are delivered after the applicable deadline, and the outcome depends on factors such as how late the accounts are and the type of company involved. Paying a penalty does not remove the requirement to file the outstanding accounts, and the two matters are handled separately. We cannot reduce, cancel or appeal a penalty on your behalf, but we can review your circumstances and explain what the relevant Companies House rules allow.

Where more than one accounting period is outstanding, each period may need its own set of accounts prepared and filed, so it is usually best to work through them in order. The records required can differ from period to period, and some periods may be harder to reconstruct than others if bookkeeping has lapsed. We can review which periods remain outstanding, confirm what information is needed for each and prepare them one at a time.

Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If your company has received a strike-off notice, the position needs to be reviewed promptly, because the appropriate response depends on the stage the process has reached and the specific correspondence received. If a company has already been dissolved, that usually requires separate restoration or legal advice rather than being treated as a standard overdue filing, and filing accounts does not automatically stop or reverse strike-off action.

Some companies may qualify for the micro-entity reporting framework, and where they do, micro-entity accounts prepared under FRS 105 may be an appropriate route — FRS 105 being the financial reporting standard applicable to qualifying entities using that framework. Eligibility is not automatic and does not follow simply because a business is small. The company's legal structure, accounting period, size and circumstances all need to be considered, and it is also possible that a different framework such as small-company accounts was applicable for an earlier period.

Yes, they are separate compliance matters. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. A confirmation statement is also filed with Companies House but is distinct from annual accounts. Delivering overdue accounts to Companies House does not automatically satisfy HMRC obligations or replace a confirmation statement, and where these are also outstanding they may need to be addressed separately.
